About Civsec Group

Civsec Group is an operator-led UK acquisition platform focused on acquiring, operating and scaling profitable businesses across essential and technical services.

Our target sectors include fire and security systems, building compliance, electrical and mechanical maintenance, facilities management, testing and inspection, and other specialist technical services.

With an active pipeline of acquisition opportunities, we are now strengthening our senior leadership capabilities to support transaction execution, acquisition financing and the development of a scalable group.

The Opportunity

We are seeking an experienced Acquisition CFO / Finance Director to work directly alongside the Founder in executing our initial acquisitions and building Civsec's financial infrastructure.

This is a hands-on, commercially focused opportunity for a finance leader who has personally supported UK SME acquisitions through financing, due diligence, negotiation and completion.

The successful candidate will play a central role in assessing acquisition opportunities, developing financial models, structuring transactions, coordinating with our acquisition finance advisers and supporting the development of the group's financial strategy.

We are particularly interested in individuals who have previously operated within private equity-backed businesses, acquisitive groups, independent sponsor environments or founder-led organisations.

The engagement will initially be fractional, part-time or transaction-specific, with the potential to develop into an ongoing Group CFO appointment as Civsec completes acquisitions and expands.

This is not a conventional accounting or financial reporting position. We are looking for someone who combines technical financial expertise with commercial judgement and a demonstrable record of acquisition execution.

Key Responsibilities

Acquisition Evaluation & Execution

  • Evaluate potential acquisition targets, including historical financial performance, profitability, cash generation and maintainable EBITDA.
  • Develop and challenge financial models, acquisition valuations and transaction structures.
  • Analyse working capital requirements, existing debt, customer concentration and financial risks.
  • Coordinate financial due diligence alongside external accounting, legal and transaction advisers.
  • Support negotiations, Heads of Terms, transaction documentation and completion planning.
  • Assess the financial viability of acquisitions and identify issues that could affect execution.

Acquisition Financing & Capital Structuring

  • Develop credible acquisition funding structures incorporating senior debt, cash-flow lending, asset-based finance, seller financing and external equity.
  • Model acquisition debt capacity, cash available for debt service, debt-service coverage, leverage and covenant headroom.
  • Evaluate the implications of deferred consideration, earn-outs, repayment obligations and transaction costs.
  • Prepare and review financial information, lender presentations, investment materials and acquisition forecasts.
  • Work collaboratively with Civsec's acquisition finance advisers, lenders and capital providers.
  • Support transaction financing processes from initial assessment through to completion.
  • Ensure appropriate working capital and liquidity are maintained following acquisition.

Group Finance & Buy-and-Build Integration

  • Help establish the financial reporting, controls and governance required for a growing multi-company group.
  • Oversee the financial integration of acquired businesses.
  • Develop consolidated management reporting, budgeting, forecasting and cash-flow monitoring.
  • Establish consistent financial performance indicators across group companies.
  • Support future acquisitions, operational improvements and integration initiatives.
  • Contribute to long-term capital allocation, financial strategy and value creation.

Candidate Requirements

Essential

  • Professionally qualified accountant (ACA, ACCA, CIMA or equivalent relevant experience).
  • Significant experience as a CFO, Finance Director or senior transaction-focused finance executive.
  • Direct, demonstrable involvement in completed UK SME acquisitions, ideally including multiple transactions.
  • Strong acquisition modelling, financial due diligence and cash-flow forecasting capabilities.
  • Practical experience structuring or supporting acquisition debt and equity financing.
  • Understanding of lender requirements, leverage, debt-service coverage, covenants and transaction funding structures.
  • Strong commercial judgement and the ability to identify financial risks early.
  • Experience engaging with lenders, private equity investors, business owners and external advisers.
  • Comfortable operating independently and working directly with an entrepreneurial Founder.
  • Ability to balance commercial ambition with financial discipline and realistic execution.

Highly Desirable

  • Experience within private equity-backed or buy-and-build businesses.
  • Previous involvement in acquiring and integrating multiple UK SMEs.
  • Experience in fire and security, building compliance, electrical maintenance, facilities management or other technical services.
  • Familiarity with independent sponsor transactions and acquisition platforms.
  • Established relationships with acquisition lenders, debt advisers, private capital investors or corporate finance professionals.
  • Experience establishing group-level financial controls and reporting following acquisitions.
  • Previous experience operating as a fractional or portfolio CFO.

Engagement & Remuneration

This is initially a part-time, fractional or transaction-specific engagement, rather than a permanent full-time salaried position.

The structure will be developed around the successful candidate's experience, availability and the needs of Civsec's acquisition programme.

Remuneration and scope will be agreed in advance of any substantive work. Arrangements may include:

  • Agreed fractional or project-based professional fees.
  • Defined transaction-specific mandates and deliverables.
  • Potential transaction-linked compensation, where appropriate and legally permissible.
  • The opportunity to transition into a more substantial Group CFO position following successful acquisitions.

We are looking for a long-term strategic contributor who is interested in helping establish and scale an acquisition-led business group.
