Overview
Legal.io is seeking an experienced Ads Contracts Counsel to support the legal team of a leading global social media and technology platform on a contract basis.
This role will focus on negotiating advertising and commercial agreements that support a high-volume advertising business. The successful candidate will work closely with Sales, Partnerships, Marketing, Product, Privacy, and Finance teams, providing practical legal advice throughout the deal lifecycle while balancing commercial objectives with legal risk.
The ideal candidate has significant experience negotiating advertising agreements, understands the digital advertising ecosystem, and thrives in a fast-paced, customer-facing environment.
Key Responsibilities
- Draft, review, and negotiate a broad range of advertising agreements, including insertion orders (IOs), master services agreements (MSAs), advertising terms, platform terms, and agency agreements
- Support Sales and Partnerships teams from initial customer engagement through contract execution
- Negotiate directly with advertisers, agencies, and agency holding companies
- Draft and negotiate a variety of commercial agreements, including SaaS, vendor, services, partnership, and non-disclosure agreements
- Provide practical legal advice to Sales, Marketing, Product, Finance, and other business stakeholders on commercial contracting matters
- Partner closely with Privacy, Intellectual Property, and Product Legal teams on issues involving data use, measurement, advertising technology, targeting, and content rights
- Identify legal and commercial risks while developing practical, business-focused solutions
- Escalate complex or high-risk issues to senior legal leadership with clear recommendations
- Support a high volume of concurrent commercial transactions while maintaining responsiveness and attention to detail

Qualifications
- Law degree and active admission to practice in a relevant jurisdiction
- 5+ years of commercial contracting experience in private practice, in-house, or a combination of both
- Significant experience negotiating advertising, media, marketing, or digital advertising agreements
- Strong drafting, negotiation, and commercial risk assessment skills
- Ability to independently manage a high volume of commercial transactions
- Excellent written and verbal communication skills
- Strong business judgment and ability to provide practical, solutions-oriented legal advice
- Collaborative approach and ability to build strong relationships with business stakeholders
Preferred Experience
- Experience advising technology, media, digital advertising, or platform companies
- Familiarity with advertising technology (AdTech), programmatic advertising, or digital media ecosystems
- Experience advising on intellectual property matters, including trademarks, copyright, licensing, and creative content rights
- Experience with privacy and data protection issues, including GDPR, data processing agreements, cookie compliance, and digital advertising regulations
- Prior in-house experience supporting advertising sales organizations
- Experience using Ironclad or other contract lifecycle management (CLM) platforms
