Job Description

Good governance might happen behind the scenes, but it plays an important part in helping a business run well, make good decisions and earn the trust of its customers.

We’re looking for an Assistant Company Secretary to join our expanding Company Secretarial team and help support the effective running of our Board, Executive Committee and their sub-committees.

This is a great opportunity to join a developing function where you’ll have plenty of exposure across the business and the chance to make a real contribution. You’ll work closely with senior leaders while also getting involved in the detail that keeps our governance framework running smoothly.

What does the job involve?

Reporting to the General Counsel & Company Secretary, you’ll support the day-to-day operation of the Company Secretarial function. Your responsibilities will include:

  • Preparing agendas, Board and committee packs, management information and meeting materials.
  • Attending Board and committee meetings and producing accurate, high-quality minutes.
  • Coordinating meeting schedules, annual agendas, action logs and follow-up activity.
  • Supporting our governance and regulatory obligations, including requirements under company law, the Listing Rules and Market Abuse Regulation (MAR).
  • Contributing to governance sections of the Annual Report and supporting preparation for the AGM.
  • Maintaining statutory registers and ensuring accurate and timely Companies House filings.
  • Supporting the induction and ongoing training of Board and Executive Committee members.
  • Helping maintain internal governance policies, our share dealing code and insider lists.
  • Supporting Board and committee effectiveness reviews and helping ensure actions are followed through.

You’ll also work closely with colleagues across the business, including HR, Compliance and Finance, and support wider projects such as incentive schemes and the Senior Managers & Certification Regime (SM&CR).

What are we looking for?

You’ll already have experience within company secretarial, corporate governance or a closely related environment and be comfortable working with senior stakeholders and confidential information.

We’d particularly like to hear from you if you have:

  • Experience working in a company secretarial or corporate governance role, ideally gained over four or more years.
  • Part or full CGI/ICSA qualification, although this isn’t essential if you have strong relevant experience.
  • Strong experience preparing agendas, Board papers and high-quality minutes.
  • Confidence using electronic Board portals and coordinating Board and committee materials.
  • Experience with statutory filings, registers and entity management.
  • A good understanding of company law, governance requirements and best practice.
  • Excellent organisation and attention to detail, with the ability to manage competing deadlines.
  • Strong communication skills and the confidence to build relationships with stakeholders at all levels.

Experience within a listed company or financial services environment would be useful, but we’re interested in the overall experience and perspective you can bring.

Most importantly, you’ll be someone who takes ownership, uses good judgement and wants to contribute to a collaborative and evolving function.
