Role Overview
The Assistant Company Secretary supports the delivery of corporate governance, legal entity management, board administration, statutory compliance, and shareholder-related activities across Planet's international group structure. The role is responsible for maintaining high standards of corporate governance, ensuring statutory obligations are met, supporting Board and Committee administration, and assisting with governance projects and legal entity initiatives across multiple jurisdictions.
The position plays an important role in supporting the effective operation of Planet's global governance framework, maintaining corporate records, managing compliance activities, and helping deliver strategic governance initiatives, including legal entity rationalisation, Management Incentive Plan administration, and corporate transactions.
What you will do
Board & Committee Administration
- Coordinate Board, Committee, and Shareholder meetings across the Group.
- Prepare meeting schedules, agendas, board packs, and governance documentation.
- Support the circulation of papers and approvals.
- Attend meetings and draft accurate minutes and action logs.
- Monitor and report on action completion.
Corporate Governance
- Maintain governance policies, procedures, and delegated authority frameworks.
- Assist with governance reporting and Board effectiveness initiatives.
- Maintain director, officer, and conflicts of interest registers.
- Support director onboarding and governance training activities.
- Ensure corporate records remain accurate and up to date.

Legal Entity Management
- Support the management of Planet's international legal entity portfolio.
- Maintain statutory books, registers, and governance databases.
- Coordinate resolutions, powers of attorney, and corporate approvals.
- Assist with incorporations, liquidations, restructurings, and legal entity simplification projects.
- Manage relationships with external corporate service providers and advisers.
Statutory & Regulatory Compliance
- Coordinate annual compliance requirements across multiple jurisdictions.
- Manage statutory filing obligations and filing calendars.
- Liaise with Companies House, regulators, corporate agents, and external advisers.
- Support annual accounts approval processes and governance-related regulatory submissions.
- Monitor compliance deadlines and reporting obligations.
Shareholder & MIP Administration
- Support shareholder communications and governance documentation.
- Assist with shareholder resolutions and corporate approvals.
- Support the administration of Planet's Management Incentive Plan.
- Maintain governance records relating to shareholder and incentive arrangements.
Governance Documentation & Record Management
- Maintain governance records and document repositories.
- Ensure governance documentation is appropriately stored and retrievable.
- Support improvements to governance technology platforms and reporting tools.
- Contribute to document standardisation and process efficiency initiatives.
Governance Projects & Business Support
- Support governance aspects of acquisitions, disposals, and restructuring projects.
- Assist with KYC and entity information requests.
- Support insurance, regulatory, and governance workstreams as required.
- Contribute to process improvement, automation, and AI-enabled governance initiatives.

Essential
- Experience supporting company secretarial, governance, or corporate administration activities.
- Understanding of corporate governance principles and Board processes.
- Experience maintaining records, registers, and compliance trackers.
- Strong organisational and planning skills.
- Excellent written communication and minute-taking ability.
- High level of accuracy and attention to detail.
- Ability to manage competing priorities and deadlines.
Desirable
- CGI qualification (completed, studying, or willingness to study).
- Experience supporting multinational corporate groups.
- Knowledge of Companies House and other statutory filing requirements.
- Exposure to regulated financial services environments.
- Experience using governance platforms such as Diligent, SharePoint, or similar tools.
