Assistant Company Secretary

This role is hybrid to London (WC2R 0LR)

We are seeking an Assistant Company Secretary who will support the company secretarial and Board governance activities across the Group, ensuring effective governance processes, accurate records, compliance with statutory obligations, and the promotion of strong governance standards and Board effectiveness.

Key Accountabilities & Responsibilities:

  • Provide company secretarial support to Boards and Committees, including meeting planning, agendas and papers.
  • Minute Executive level committee meetings and produce accurate actions.
  • Maintain and monitor committee action logs, following up and escalating where needed.
  • Liaise with Executive Assistants to coordinate committee administration.
  • Attend and minute additional meetings, deputising for the Company Secretary when required.
  • Maintain statutory registers, corporate records and governance documentation.
  • Prepare and submit Companies House and other regulatory filings.
  • Support governance frameworks, Terms of Reference and delegated authorities.
  • Assist with Director onboarding, inductions and governance training.
  • Support governance aspects of corporate transactions, restructures and entity changes.

Skills, Experience & Knowledge:

  • Company secretarial or corporate governance experience.
  • Supporting Boards, Executive Committees and senior stakeholders.
  • Preparing agendas, papers, minutes and action logs.
  • Maintaining statutory records and corporate filings.
  • Experience in a regulated environment desirable.
  • Strong knowledge of corporate governance and company secretarial practice.
  • Excellent minute-taking and drafting skills.
  • Highly organised with strong attention to detail.
  • Confident communicator with senior stakeholders.
  • Able to work independently and use sound judgement.
  • Discreet and trusted with confidential information.
