At Investec, Company Secretariat is not simply an administrative function. The team's purpose is to empower Investec to make effective decisions by supporting clear governance, timely information flows, appropriate escalation and disciplined follow-through. In doing so, the team helps maintain high standards of governance, support regulatory expectations and preserve the trust placed in the organisation by clients, regulators, shareholders and colleagues.
The Assistant Company Secretary will join the Company Secretarial team, which supports the governance framework for the Investec Group, including Investec Bank plc, its Board, Board Committees, management forums and principal subsidiaries. The role will provide day one exposure to senior stakeholders, regulated banking governance, listed-company standards, international subsidiary governance, board processes and the practical operation of governance in a dynamic financial services environment.
What will I be doing?
Board, committee and forum support:
- Supporting the Company Secretarial team in the preparation and delivery of board and management forum meetings, with a particular focus on international subsidiary governance.
- Assisting with the preparation, collation and circulation of meeting agendas, papers and packs.
- Maintaining and following up on action logs and matters arising.
- Supporting the planning and coordination of annual meeting calendars.
- Supporting consistent governance practices across relevant international subsidiary boards, committees and management forums.
Governance administration and records:
- Maintaining accurate corporate records, including meeting records, terms of reference, delegated authorities, director information, registers and other governance documentation.
- Supporting the maintenance of statutory records and corporate filings for relevant entities.
- Assisting with director appointments, resignations, conflicts declarations, attestations and other routine governance processes.
- Supporting the maintenance and periodic review of governance documents, policies, mandates and terms of reference.
- Helping ensure that Board and committee documentation is properly stored, version controlled and accessible.

Stakeholder engagement:
- Building effective relationships with directors, senior management, business areas, control functions and colleagues across the wider Investec group.
- Acting as a professional and responsive point of contact for routine governance and company secretarial matters.
- Coordinating inputs from Legal, Risk, Compliance, Finance, Reward, HR and other functions as required.
- Supporting the team in responding to governance queries and requests for information.
- Liaising with colleagues and stakeholders across relevant international jurisdictions.
Projects and continuous improvement:
- Supporting governance enhancement projects and process improvements within the Company Secretarial function.
- Assisting with annual effectiveness reviews, governance framework reviews, committee reviews and related governance exercises.
- Helping to identify opportunities to improve the quality, efficiency and consistency of meeting and governance processes.
- Supporting the effective use of technology, including AI-enabled tools, to improve governance support processes, while maintaining appropriate confidentiality, accuracy and professional judgement.
- Supporting ad hoc company secretarial, regulatory governance and corporate projects as required.
What will I need to bring?
- Previous experience in a regulated financial services environment, including banking or wealth management.
- Experience supporting meetings, preparing agendas, coordinating papers and drafting minutes.
- Strong written English and the ability to produce clear, concise and accurate written work.
- Good working knowledge of Microsoft Word, PowerPoint and Excel.
- Experience using a board portal (Diligent).
- Experience of leveraging AI in governance support processes would be desirable.
- Highly organised, reliable and able to manage competing priorities.
- Detail-focused, with a commitment to accuracy and high-quality work.
- Proactive and willing to take ownership of tasks through to completion.
- Calm and composed when dealing with deadlines, changing priorities or last-minute requests.
- Confident communicating with colleagues at different levels of seniority.
- Discreet and able to handle confidential and sensitive information appropriately.
- Persistent but diplomatic when following up with stakeholders.
- Curious and willing to learn, with a genuine interest in governance and the role of the Company Secretariat.
- Collaborative, collegiate and comfortable working as part of a small, busy team.
- Professional, practical and solutions focused.
- Able to exercise judgement and recognise when matters need to be escalated.
