Key Accountabilities
We have an exciting opportunity for an Assistant Company Secretary to join our company secretarial department. You will be stepping into a client facing role, taking responsibility for your own client portfolio, providing support to the senior team members and the wider team. There will be opportunities to be involved in more complex work and gain valuable experience.

Strong candidates will have a professional services background in a similar role, be educated to a degree level and, ideally, partly or fully CGI qualified, possess a good knowledge of the Companies Acts and relevant statutes and have experience in using Diligent Entities (formerly known as Blueprint).
The role requires a proactive approach, strong organisational skills, attention to detail and excellent verbal and written communication skills. It will also be necessary to possess the ability to manage and prioritise workload without losing sight of delegated tasks.
Daily tasks will involve various aspects of company secretarial compliance including, but not limited to:
- Ensuring that clients’ Companies House filing deadlines are met and that documents are issued for approval in good time
- Maintaining statutory books and ensuring they are up to date
- Preparation of documents for routine Companies House filings
- Preparation of resolutions, forms and supporting documents for share capital transactions (share allotments and transfers, capital reductions, share buybacks, subdivisions, consolidations, share re-designations and share-for-share exchanges)
- PSC analysis and updating PSC registers
- Preparation and submission of dormant company accounts and voluntary striking off applications
- Formation of UK companies and LLPs
- Registration of UK establishments of overseas companies, advising on their compliance requirements, preparation and submission of forms to report changes
- Responding to technical queries from clients and colleagues
- Raising and sending invoices for the work completed
Strong experience in the majority of these tasks will be an advantage. We will provide support for training and the opportunity to gain an in-depth technical knowledge of more complex company secretarial procedures. There will be opportunities for career advancement.
