Assistant Company Secretary

Expanding Financial Services Group with global operations and based in The City requires an Assistant Company Secretary due to an increased workload.

Role Overview

Reporting to the General Counsel, you will take minutes at senior management meetings and some board meetings when required. Acquisitions and divestments have been substantial in recent years and this company has a global footprint.

Key Responsibilities

  • Statutory Accounts Approval and Filing:
    • Leading the annual process to approve and file the statutory accounts for all UK-based subsidiaries.
    • Liaising with internal finance teams, external auditors, and company directors.
    • Preparing board minutes and other necessary paperwork.
    • Arranging board meetings and signatures via DocuSign.
    • Companies House filings.

  • Compliance and Reporting:

    • Monitoring and ensuring completion of annual compliance requirements for all Group subsidiaries.
    • Assisting in the production of the Group Annual Report, Interim Report, and shareholder circulars.
    • Registration of UK branches and overseas companies.
  • Project and Corporate Support:

    • Leading and assisting in Departmental projects and ad-hoc Company projects.
    • Providing support for corporate activities such as financing, acquisitions, and disposals.
    • Management of insiders lists and permissions to deal requests.

  • Meeting and Administrative Support:
    • Support in preparing agendas, relevant reports, and meeting packs for Committee meetings as required.
    • General support and administrative assistance.

This is a hybrid role.
