Meet the Team

The Legal Department provides legal advice and guidance globally across all aspects of Millennium’s business and operations. The team manages the legal aspects of firm initiatives and a broad range of legally intensive projects, partnering across the organization and overseeing relationships with external legal advisors worldwide.

Associate General Counsel

As an Associate General Counsel, you will focus on negotiating arrangements with portfolio managers, both internal to Millennium and with external capital allocations, as well as separate account, management and bespoke fund agreements, and other similar transactional and related regulatory work. As a member of our legal team, you will have significant exposure to the sophisticated legal framework of asset management and would collaborate with many other departments across the firm.

What You'll Do

  • Lead the negotiation and execution of portfolio manager agreements, including arrangements for internal and external portfolio managers
  • Draft, negotiate, and advise on separate account, investment management, bespoke fund, joint venture, seeding and other agreements supporting portfolio manager onboarding and capital deployment
  • Provide legal guidance on governance, contractual rights, and regulatory considerations related to capital deployment with portfolio managers
  • Manage multiple concurrent processes, coordinating closely with senior management and stakeholders across the firm
  • Identify, assess, and resolve legal and regulatory issues, escalating matters appropriately
  • Support additional Legal Department projects, including capital formation initiatives and the development of policies and procedures

What You Bring

  • At least seven years of experience in an investment management or related practice at a prestigious law firm or within the legal department of an investment adviser; relevant in-house experience is a plus
  • Strong command of private fund and management company structuring, governance, and operations
  • Solid understanding of hedge funds and applicable securities regulations, including relevant provisions of the Securities Act, Investment Advisers Act, and Investment Company Act
  • Experience drafting and negotiating seeding arrangements and/or transactions involving management company or general partner stakes is a plus
  • Familiarity with restrictive covenants, including non-competition, non-solicitation, and confidentiality provisions, is a plus
  • Strategic judgment and the ability to balance legal risk with business objectives
  • Strong written, verbal, and interpersonal communication skills, with the poise and confidence to engage stakeholders at all levels
  • Proactive, organized, and efficient approach to managing multiple priorities and partnering directly with business stakeholders in a highly dynamic environment
