Role Title: Board Director (Voluntary Position)

Summary of Role - Cyber Security
The role of the Board Director within the credit union is to govern the affairs and strategic direction of the organisation. To oversee and protect the prosperity and governance of the Credit Union, for the benefit of the members they represent and to whom they are accountable. The appointed Board Director will offer insight and guidance in their field of expertise to ensure alignment with the CVCU vision, mission and values.
As a Volunteer Director with expertise in Cyber Security, you will provide strategic oversight and independent challenge to help ensure the organisation remains secure, resilient, and prepared for emerging technological risks and opportunities. Working as part of the Board, you will support good governance by advising on cyber security, data protection, digital innovation, and the responsible use of AI, helping the organisation protect members, strengthen operational resilience, and deliver better outcomes through technology.
Main Duties
- To oversee CVCU complies with its governing document, credit union legislation, the requirements of the regulators, and all other relevant legislation or regulations.
- To ensure CVCU pursues its objects as defined in its rules.
- To ensure CVCU uses its resources exclusively in pursuance of its objectives.
- To contribute actively to the Board role in giving clear strategic direction to CVCU, setting overall policy, defining goals and setting targets and evaluating performance against agreed targets.
- To ensure the effective and efficient administration and financial stability of CVCU, including scrutinising board papers, leading discussions, focusing on key issues, and providing guidance on new initiatives
- Actively participate in Board Meeting and subgroups with independent and constructive perspectives.
- To appoint, manage and support the Chief Executive, to affect the day-to-day operation of CVCU.
- Act as an ambassador for the organisation, building relationships with key stakeholders and partners.
- To safeguard the good name and values of CVCU.

Person Specification
Essential
- Demonstrate professional experience in their field of expertise.
- An understanding and acceptance of the legal duties, liabilities and responsibilities of a credit union Director.
- A commitment to the organisation.
- An ability to commit to the level of time and effort required to provide effective governance, including as a minimum, monthly attendance at Board meetings, and active involvement with at least one sub-group or other specified role identified within the governance structure of CVCU.
- Able to think creatively and strategically.
- A willingness to undertake training and development, to include as a minimum, an induction process and ongoing refresher training as required, to ensure good practice in Governance.
- Good problem solving and analytical skills.
- Eligible for ‘approved person’s’ status with the Prudential Regulation Authority (support will be given to complete the application process).
Desirable
- Experience working within financial services, regulated environments, or the third sector.
- Experience in change management and organisational transformation.
- Skills or experience that can add specific value to CVCU, including finance/accountancy, banking, legal, governance, compliance, HR, ICT, research, third sector, government, or marketing/PR expertise.

Director Support and Benefits
- Travel expenses for meeting attendance can be re-imbursed.
- Relevant training will be provided, including an element of compulsory induction training and access to our trade body training academy.
- References supplied to Directors with active involvement in CVCU after 6 months.
- CVCU will provide ongoing support to Directors in compliance with the CVCU’s Directors’ Handbook.
