The Opportunity

Nearwater is looking to add to its legal team by hiring an experienced finance lawyer in its London office to work directly with business groups on the execution and management of transactions. The ideal candidate will have worked at a major law firm and/or a global bank or investment management firm in a similar role and has strong experience in structured finance/securitization and capital markets/securities laws.

This candidate will work closely with our Deputy General Counsel and with the Investment and Origination teams in negotiating and closing new capital markets and loan market (CM/LM) originations.

What You'll Do

  • Work closely with one or more business groups negotiating financings based upon form documentation.
  • Serve as the front line "desk lawyer" charged with maintaining documentation standards and transaction compliance for the Firm's deals while negotiating terms with business groups and clients.
  • Work closely with Compliance, Credit and Risk partners, and outside counsel.

What We're Looking For

Required

  • 3 - 6+ years of transactional experience in financing transactions, structured finance, securitization, or loan/receivables finance, gained at a top-rated law firm and/or in an in-house legal team.
  • Experience negotiating a variety of financing structures (repo, stock loan, TRS, etc.).
  • Understanding of rating agency structured financing requirements for rated debt.
  • Hands on drafting and negotiating experience at all stages of transactions, from term sheet through funding.
  • Ability to think commercially and strategically in relation to legal and business issues and provide solutions.
  • First-rate judgment and ability to prioritize.
  • Law degree and appropriate qualification to practice as in-house counsel in our European jurisdictions.

Preferred

  • Familiarity with derivatives documentation (ISDA).
  • UK and EU transactional and/or regulatory experience.
