Corporate Paralegal
Ryder Reid Legal is seeking a Corporate Paralegal to join a US law firm on a rolling 12 month fixed term contract basis.
Working closely with partners and associates, this role will play a key role throughout the transaction lifecycle, from due diligence and drafting through to signing, closing and post-completion matters.
Key Responsibilities
- Managing and reviewing due diligence materials and VDRs
- Preparing due diligence memoranda, transaction checklists and closing documents
- Assisting with High Yield Bond transactions from inception to completion
- Drafting and maintaining organisational charts, working party lists and transaction trackers
- Coordinating pre-closing, closing and post-closing processes, including closing bibles
- Conducting legal and factual research and obtaining corporate documents across jurisdictions
- Proofreading and compiling transaction documents, execution versions and signature packs

What the Firm Is Seeking
- Significant paralegal experience within a law firm environment
- Exposure to Capital Markets, US Securities and/or Leveraged Finance transactions
- Strong organisational skills, attention to detail and the ability to manage competing deadlines
- A proactive, team-oriented approach with excellent communication skills
- Additional language skills (Italian, Spanish or French) would be beneficial but are not essential
