Position Overview

This is a full time remote role open to qualified candidates globally. Candidates must be consistently available during US Eastern Time business hours.

The Commercial Contracts Specialist will review, redline, negotiate, and manage customer, partner, vendor, and subcontractor agreements.

This role requires exceptional attention to detail and the ability to identify unclear language, missing terms, conflicting obligations, scope gaps, and commercial risks. The specialist will work directly with leadership, sales, delivery, and finance.

Responsibilities

  • Review and redline Master Services Agreements, Statements of Work, Non Disclosure Agreements, amendments, vendor agreements, and related documents
  • Negotiate contract terms with customer procurement and legal teams
  • Identify commercial, financial, delivery, security, and contractual risks
  • Review scope, responsibilities, acceptance criteria, pricing, invoicing, and payment terms
  • Compare document versions and identify changes, inconsistencies, and missing provisions
  • Coordinate reviews and approvals with leadership, sales, delivery, and finance
  • Manage redlines, approvals, signatures, renewals, and executed agreements
  • Maintain contract templates, negotiation guidance, records, and approval history
  • Escalate material exceptions and risk decisions to company leadership
  • Document important obligations for delivery and finance after signature

Required Qualifications

  • At least 3 years of commercial contract review and negotiation experience
  • Experience with Master Services Agreements, Statements of Work, Non Disclosure Agreements, amendments, and vendor agreements
  • Experience within technology, SaaS, consulting, managed services, or professional services
  • Understanding of liability, indemnification, intellectual property, confidentiality, payment, acceptance, termination, and data protection terms
  • Experience negotiating with enterprise procurement or legal teams
  • Exceptional attention to detail, organization, and follow through
  • Excellent written English and contract drafting skills
  • Strong commercial judgment and the ability to manage multiple agreements independently
  • Fully available during US Eastern Time business hours

  • Experience with enterprise technology or professional services agreements
  • Experience with security, privacy, compliance, and data protection requirements
  • Experience creating contract templates, clause libraries, and negotiation playbooks
  • Familiarity with SOC 2 requirements
  • Legal education or a relevant contract management certification

A law degree is helpful but not required. Material risk decisions will be escalated to company leadership.
