Backed by significant institutional capital and rapidly expanding internationally, our client is building critical infrastructure to support the next generation of AI innovation. As the organisation continues to scale across multiple jurisdictions, they are seeking an experienced Company Secretary to establish and lead best-in-class governance, entity management and corporate compliance processes across the group.

This is a highly visible role working closely with founders, senior leadership, investors and external advisers. It offers genuine breadth, exposure to complex international structures and the opportunity to play a key role in major transactions and strategic growth initiatives.

The Opportunity

You will take ownership of all company secretarial and governance activities across a growing international group structure spanning the UK, Europe and the US. The role sits at the centre of corporate activity, supporting board operations, shareholder governance, financing transactions, joint ventures and corporate restructurings while ensuring robust statutory compliance across multiple jurisdictions.

Key Responsibilities

  • Lead company secretarial activities across the group, maintaining statutory records and entity governance frameworks.
  • Manage board and shareholder meetings, including agendas, board packs, resolutions and minutes.
  • Oversee Companies House filings and equivalent international registry requirements.
  • Support M&A activity, financings, joint ventures and other strategic corporate transactions.
  • Coordinate corporate approvals, signing processes and transaction execution.
  • Maintain shareholder registers, constitutional documents and governance records.
  • Manage KYC, banking mandates and authorised signatory processes.
  • Support director onboarding, governance training and ongoing compliance obligations.
  • Develop and enhance governance policies, procedures and controls as the business scales.
  • Liaise with external law firms, corporate service providers and advisers globally.

Candidate Requirements

We are interested in individuals who combine strong technical company secretarial expertise with a commercial and proactive mindset.

You will likely possess:

  • 5+ years' company secretarial, corporate governance or legal experience.
  • CGI/ICSA qualification (or part-qualified), or legal qualification with significant company secretarial exposure.
  • Strong knowledge of UK corporate governance and Companies Act requirements.
  • Experience managing entities across multiple international jurisdictions.
  • Exposure to private equity-backed, infrastructure, energy or other capital-intensive businesses would be advantageous.
  • Excellent drafting skills with the ability to prepare board materials and governance documentation to a high standard.
  • Strong organisational skills and the ability to manage multiple priorities in a fast-paced environment.
  • High levels of discretion and professionalism when handling confidential information.
