BD Group is looking for an experienced and professional Company Secretary to support the organisation's governance, compliance, and statutory obligations.
Working closely with the Board, senior leaders, and external advisers, you will be responsible for ensuring the organisation meets its legal and regulatory requirements while maintaining high standards of corporate governance.
Key Responsibilities
- Prepare and submit confirmation statements and other statutory filings.
- Maintain statutory registers and company records, ensuring accuracy and compliance.
- Coordinate Board, shareholder, and Annual General Meetings (AGMs).
- Prepare agendas, meeting papers, minutes, and action logs.
- Ensure Companies House is notified of relevant organisational changes.
- Support compliance with the Companies Act 2006 and other regulatory requirements.
- Maintain and safeguard key corporate documents and records.
- Act as a point of contact for shareholders and manage governance-related correspondence.
- Liaise with external advisers, including auditors, accountants, and legal professionals.
- Provide governance and company secretarial support to the Board and senior management.
- Monitor changes in legislation and advise on compliance requirements.

Essential
Qualifications, Skills & Experience
- Degree qualified in a relevant discipline such as Law, Accounting, Finance, Business Administration, or a related field.
- Experience undertaking company secretarial and governance responsibilities.
- Strong knowledge of Companies House requirements and statutory compliance obligations.
- Experience maintaining corporate records and statutory registers.
- Experience supporting Board and shareholder meetings, including minute taking.
- Excellent organisational skills and attention to detail.
- Strong written and verbal communication skills.
- Ability to handle confidential information with discretion and professionalism.
Desirable
- Professional qualification relating to Company Secretarial Practice, Governance, Law, or Accounting.
- Experience working within a group company structure.
- Experience liaising with auditors, legal advisers, regulators, and shareholders.
- Knowledge of wider compliance and corporate administration activities.
