We're now seeking an experienced Company Secretary to play a pivotal role at the heart of our governance framework. Reporting directly to the CEO and working closely with the Chair, Board and Executive Committee, you'll act as a trusted adviser, ensuring the highest standards of corporate governance are maintained as we continue our exciting growth journey.

What you'll do:

  • Act as a trusted adviser to the Chair, Board, Board Committees and Executive Committee on corporate governance, Board effectiveness and governance obligations.
  • Lead the ongoing development and enhancement of Alba's governance framework, policies and procedures.
  • Deliver a high-quality company secretarial service across the Bank.
  • Manage all Board, Committee and shareholder governance activities, ensuring effective planning, coordination and administration.
  • Prepare and coordinate Board and Committee agendas, papers and governance packs to support effective decision-making.
  • Attend Board and Committee meetings, providing governance guidance and producing accurate, high-quality minutes and action tracking.
  • Support the Chair, Non-Executive Directors and Executive team in the effective discharge of their governance responsibilities.
  • Ensure compliance with all applicable statutory, corporate governance and company secretarial requirements.
  • Maintain statutory registers and oversee Companies House filings and corporate records.
  • Administer Board resolutions, shareholder communications and corporate governance documentation.
  • Lead the annual Board and Committee calendar, ensuring meetings, governance activities and annual work plans are delivered effectively.
  • Support Director onboarding, induction, training and ongoing development programmes.
  • Monitor emerging governance and regulatory developments, providing practical guidance on governance implications and Board reporting requirements.
  • Build and maintain strong relationships with regulators, auditors, advisers and key internal stakeholders.
  • Support strategic initiatives by ensuring appropriate governance oversight, decision-making processes and approvals are in place.
  • Drive continuous improvement across governance processes, policies and Board administration activities.
  • Ensure accurate governance records are maintained and corporate documentation is securely managed.
  • Be a role model for our Alba Values and Alba ways of working.

What you'll bring:

  • Significant Company Secretary experience within a regulated Financial Services environment.
  • Strong knowledge of UK corporate governance requirements, company secretarial practice and governance best practice.
  • Proven experience supporting Boards, Board Committees, Chairs and Executive teams.
  • Experience managing Board and Committee cycles, including agenda planning, papers, minute-taking and action tracking.
  • A strong understanding of corporate governance frameworks, statutory obligations and governance reporting requirements.
  • The ability to build credibility and trusted relationships with Board members, senior executives and key stakeholders.
  • Excellent written and verbal communication skills, with a proven ability to produce clear, concise and high-quality Board papers and minutes.
  • Exceptional organisational skills, with the ability to manage multiple priorities and competing deadlines.
  • Strong attention to detail and a commitment to maintaining accurate governance records and documentation.
  • Sound judgement, discretion and integrity when handling confidential and sensitive information.
  • A proactive, solutions-focused approach with the confidence to challenge constructively when appropriate.
  • Experience driving continuous improvement across governance processes and practices.
  • Commercial awareness and the ability to operate effectively within a fast-paced, growing organisation.
  • A collaborative mindset and a genuine passion for effective governance and Board excellence.
