Steele Charles is working exclusively with a well-established and growing organisation to appoint a Company Secretary to lead and continuously develop its corporate governance framework.
This is a senior governance position with genuine scope to influence how the organisation operates at Board and executive level. Reporting to the Legal Director, you will act as a trusted adviser to the Board, Committees and senior leadership team, ensuring high standards of governance, statutory compliance, accountability and decision-making.
The Role
You will take ownership of the organisation's Company Secretarial and governance activities, while also helping to build and evolve the governance infrastructure for the future.
Key responsibilities will include:
- Developing and maintaining the organisation's corporate governance framework, policies and Board Operating Manual.
- Advising Directors, Board Chairs and senior executives on governance obligations, Companies Act requirements and regulatory developments.
- Establishing and supporting Board and Committee structures, including Terms of Reference, annual workplans and governance calendars.
- Managing Board and Committee meetings, including agendas, papers, minutes, actions and follow-up.
- Maintaining statutory registers, Companies House filings and corporate records across multiple entities and jurisdictions.
- Leading Director appointments, onboarding, governance inductions and related documentation.
- Supporting Board effectiveness reviews, succession planning and ongoing governance development.
- Identifying governance risks, control weaknesses and opportunities for improvement.
- Leading the implementation and ongoing development of the organisation's Board/governance management platform.
- Supporting wider Legal and ESG activity, including policy development, horizon scanning and emerging regulatory requirements.
- Driving improvements in governance processes, systems, reporting and technology.

About You
We are looking for an experienced Company Secretary or governance professional who can operate confidently at Board and executive level and is comfortable working in a complex, evolving organisation.
You are likely to have:
- A recognised Company Secretarial / Governance qualification, such as Chartered Governance Institute membership, or an equivalent legal, governance or compliance background.
- Significant experience in a Company Secretary, Deputy Company Secretary, Head of Governance or senior governance position.
- Strong knowledge of UK corporate governance requirements and the Companies Act.
- Experience supporting Boards and Committees within a multi-entity organisation.
- A track record of developing or improving governance frameworks, processes and controls.
- Excellent organisational, communication and stakeholder management skills.
- The discretion and judgement required to handle highly confidential Board and corporate information.

Experience within a listed, private equity-backed, regulated or otherwise complex organisation would be advantageous, as would exposure to FCA requirements, international jurisdictions, M&A/restructuring, ESG and governance technology platforms.
