Company Secretarial | Fund Board Governance
Global Investment Management Firm
Location: London
Contract Type: Hybrid
Duration: 3-month contract
Rate: £350 - £450 PAYE Day Rate
We are looking for a Company Secretarial/Fund Board Governance Associate to join a leading global asset manager in London on a 3 month maternity cover.
The successful candidate will support the effective governance of a range of investment fund and corporate entities, working closely with Board members, investment teams, Legal, Compliance, Risk, and other business stakeholders.
This role would suit someone from a Fund Governance, Company Secretarial, Entity Governance, or Board Governance background. Candidates with strong Board support experience within asset management or financial services may also be considered where they can demonstrate exposure to formal governance processes.
Key Responsibilities:
- Coordinate the governance and administration of a portfolio of fund and corporate entities.
- Prepare Board and committee agendas, papers, and Board packs.
- Attend meetings and produce high-quality, accurate formal minutes.
- Maintain matters arising, action logs, and Board delegation records.
- Coordinate information and documentation across senior internal and external stakeholders.
- Support regulatory and governance due diligence and ensure appropriate procedures and controls are maintained.
- Assist with entity incorporations and ongoing legal-entity governance requirements.
- Support a robust governance framework, ensuring regulatory and statutory obligations are appropriately documented and monitored.
- Respond to KYC and entity-related information requests.
- Maintain accurate governance and corporate records.

- Previous experience within Fund Governance, Company Secretarial, Entity Governance, Board Governance, or a closely related function.
- Strong experience preparing Board papers, agendas, and meeting documentation.
- Excellent formal minute-taking skills and ability to accurately capture discussions, decisions, and actions.
- Strong attention to detail and organizational skills, with the ability to manage multiple deadlines.
- Confident working with senior stakeholders, including Board and Director-level individuals.
- Experience within asset management, investment management, funds, or wider financial services would be highly advantageous.
- Knowledge of investment funds, alternative investments, and/or Luxembourg fund structures would be beneficial but is not essential.
- Experience using Blueprint, Diligent, or similar governance/entity-management platforms would be advantageous.
- Company Secretarial qualification or legal background would be beneficial but is not essential.
