Bruin is exclusively partnering with a highly regarded international insurance group to appoint a Group Company Secretary.
As a trusted adviser on governance, corporate structure and regulatory matters, you will lead the Group's company secretarial function and play a key role in supporting strategic decision-making, business growth and governance best practice across an international organisation. This is a highly visible position with significant influence, offering the opportunity to shape governance frameworks, support Board effectiveness and work closely with senior stakeholders across multiple jurisdictions.
The Role
- Act as principal adviser to the Board and Executive Management on corporate governance matters.
- Lead the ongoing development and enhancement of the Group's governance framework, policies and procedures.
- Oversee Board and Committee processes, including agendas, board papers, minutes, resolutions and action tracking.
- Provide governance and procedural guidance to directors and senior stakeholders.
- Support Board effectiveness reviews, governance initiatives and director development programmes.
- Take ownership of the governance and administration of a substantial international portfolio of legal entities, ensuring robust corporate governance, regulatory compliance and effective entity management across the Group.
- Ensure compliance with statutory, regulatory and corporate governance requirements across multiple jurisdictions.
- Oversee company formations, restructurings, rationalisations and other corporate transactions across the Group.
- Maintain strong relationships with regulators, external advisers, auditors and corporate service providers.
- Lead governance best practice initiatives and identify opportunities for continuous improvement.

The Successful Candidate
We are keen to hear from experienced Company Secretaries and governance professionals who can demonstrate:
- Significant Company Secretarial and corporate governance experience within a regulated environment.
- Strong knowledge of corporate governance frameworks, company law and entity management.
- Extensive Board and Committee support experience.
- Experience operating across multiple jurisdictions and complex corporate structures.
- A proven track record of drafting high-quality board papers, minutes, resolutions and governance documentation.
- Experience supporting regulatory filings, corporate transactions and corporate restructurings.
- Excellent stakeholder management, communication and influencing skills.
- Strong organisational and project management capabilities, with the ability to manage competing priorities.
- The confidence and credibility to engage with Board members and senior executives.
- CGI qualification (or equivalent) would be highly advantageous.
