I am supporting a financial services business in their search for a strategic Company Secretary to lead the function. This is a fantastic opportunity for a governance professional to step up into a pivotal, senior appointment. You will be the trusted adviser on all matters of corporate governance across the Group, leading Board and committee meetings, ensuring statutory and regulatory compliance, and embedding scalable governance frameworks to support a business growing at pace.
Key Responsibilities
Corporate Governance
- Lead and maintain a strong governance framework across the Group's UK and EU entities.
- Advise the Board, Committees and senior executives on governance matters, directors' duties, conflicts of interest and board effectiveness.
- Support governance aspects of strategic transactions, restructurings and organisational change, while partnering with the Chair, CEO and General Counsel on Board composition and succession planning.
- Prepare governance disclosures for the Annual Report and monitor legal and regulatory developments, providing advice on business impact.

Board Administration and Statutory Compliance
- Manage the full Board and Committee cycle, including agendas, papers, minutes and action tracking, ensuring regulatory standards are met.
- Oversee statutory records, Companies House filings and corporate administration across the Group.
- Lead director induction, board evaluations and skills assessments, maintain key governance documentation, and ensure appropriate Directors' and Officers' insurance coverage.
Shareholder Relations
- Support shareholder engagement by coordinating general meetings and managing dividend communications, share transfers and capital-related documentation.
Leadership
- Serve as a member of the Legal & Governance leadership team, contributing to the development of the wider legal and governance function.
What We're Looking For

- Fully CGI qualified, with significant experience in a regulated banking or financial services environment
- A proven track record advising Boards, CEOs, General Counsels and NEDs in a fast-paced, high-growth in-house setting
- Deep knowledge of corporate law, FCA/PRA requirements and corporate governance codes
- An experienced people leader with a team-first approach
- Exceptional stakeholder management and communication skills, with credibility at the most senior levels
