Company Secretary and Head of Governance
Frensham Heights Educational Trust is seeking an experienced and highly professional Company Secretary and Head of Governance to play a pivotal role in ensuring the effective governance and smooth administration of the Trust and its subsidiary entities. The role reports directly to the Chair of Governors and Board of Trustees, with a dotted-line to the Head.
This is a senior governance position requiring a confident adviser who can support the Board, ensure compliance with statutory and regulatory requirements, and help maintain the highest standards of corporate governance across the Trust.
About the role
The successful candidate will act as the principal adviser to the Board on governance, constitutional and procedural matters, ensuring the Trust complies with its obligations under company, charity and education legislation. They will coordinate and support Board and committee meetings, maintain statutory records, oversee governance processes, manage regulatory filings and provide strategic governance advice to the Chair and Trustees.

We are looking for someone with
- Proven experience as a Company Secretary or in a similar governance role.
- Significant experience supporting Boards and Committees.
- A strong understanding of corporate governance, compliance and regulatory requirements.
- Excellent organisational, administrative and communication skills.
- The ability to provide clear strategic advice and support to Trustees and senior leaders.
- Professional qualification through the Chartered Governance Institute (CGI), or a candidate who is qualified or working towards qualification.
