An exciting opportunity has arisen for a Company Secretarial Assistant to join our Legal Affairs Team.
This role supports the Company Secretary in delivering a comprehensive governance and company secretarial service to Ford Credit and Ford of Britain. There will also be opportunities to provide support across the wider Legal Affairs Team.
This is an excellent opportunity for someone looking to develop their company secretarial career within a global organisation. The role offers broad exposure across the Group, including supporting a portfolio of Boards, working with overseas entities, and engaging with senior stakeholders.
RESPONSIBILITIES
What you'll be doing:
- Supporting the Company Secretary in delivering a high-quality company secretarial and governance service across UK and international group entities.
- Managing statutory compliance requirements, including Companies House filings, corporate record maintenance and support for overseas entity governance.
- Preparing and administering corporate documentation, including resolutions, powers of attorney and other governance-related documents.
- Supporting Board and Committee activities, including meeting scheduling, agenda and paper preparation, minute taking and follow-up actions.
- Assisting with director appointments, inductions, training and subsidiary governance processes.
- Supporting year-end governance activities, including approvals, annual accounts processes and governance reviews.
- Contributing to governance projects and initiatives to enhance governance frameworks, policies and procedures across the Group.
- Monitoring regulatory and legislative developments and supporting the implementation of governance best practice.
- Maintaining governance systems, records and organisational structure information.
- Identifying opportunities to improve processes and embrace technology, including AI-enabled solutions, to increase efficiency.

QUALIFICATIONS
The minimum requirements we seek:
- Experience in a company secretarial or governance role, ideally within a regulated environment.
- Progress towards a CGI qualification (preferred).
- Excellent organisational, communication and stakeholder management skills.
- Strong attention to detail, sound judgement and problem-solving ability.
- Ability to work independently, manage competing priorities and maintain confidentiality.
- Proficiency in Microsoft Office applications.
- Experience with BoardVantage, GEMS or similar governance software would be beneficial.

This position is based in Dunton, and it is expected the successful candidate will be able to attend the Dunton office for typically 4 days a week and remain flexible on the days they are required to attend the office according to business requirements.
