Faraday's Syndicate 435 at Lloyd's underwrites Aviation, Casualty (North American Specialist Lines, Financial Lines, International Casualty and UK Liability Insurance), Property (Direct & Facultative and Treaty), Agriculture and Energy.
Faraday’s group of companies includes Faraday Underwriting Limited, its Lloyd’s Managing Agency, as well as two MGAs, one in the UK and one based in France.
Faraday is part of the General Re Corporation, a wholly owned subsidiary of Berkshire Hathaway.
About the role
We are currently offering an excellent opportunity for a Company Secretary and Head of Governance to join Faraday.
The role will report to the Head of Compliance and will encompass company secretarial responsibilities as well as responsibility for management and oversight of regulatory governance.
The role would be best suited with someone with strong company secretarial and regulatory experience, who wants to have hands on responsibility and has an appetite to modernise our approach to Board governance.
Key Responsibilities
Board & Corporate Governance
- Act as Secretary to the Board and Sub Committees for five Faraday UK entities, including Faraday Underwriting Limited, Faraday Capital Limited, Faraday Corporate Capital Limited, Faraday Holdings Limited and GRF Services Limited.
- Provide secretarial and governance support for Faraday’s two MGAs: Faraday Europe SAS and Faraday MGA Limited.
- Work with senior Faraday and Group stakeholders including Internal and External Auditors.
- Main point of contact for Non-Executive Directors.
- Liaising with Chairs to arrange meetings and agenda and producing high-quality papers, minutes, and actions.
- Maintain Board and subcommittee governance framework, including Terms of Reference, Schedules of Delegated authorities, Governance map and committee structures.
- Support Board effectiveness reviews and director induction programmes.

Senior Managers Regime Oversight
- Own and maintain the Management Responsibilities Map (MRM) and governance documentation.
- Ensure clear allocation and documentation of regulatory responsibilities.
- Coordinate updates for role changes, restructures, or regulatory developments.
- Liaise with Compliance and HR functions to ensure SMCR requirements are embedded operationally.
Policy Governance & Framework Management
- Own Faraday’s policy governance framework, including annual review process to ensure policies are consistent with strategy, regulatory obligations and risk appetite.
Regulatory Governance & Oversight
- Working with the Compliance and Risk functions on coordination of regulatory submissions, including Lloyd’s Principles Assessment and thematic reviews.
Qualifications & Experience
- Proven experience as a Company Secretary with the London Market.
- Strong understanding and experience of UK and Lloyd’s regulatory standards and frameworks.

- Excellent oral and written communication skills, with the ability to articulate complex risk matters clearly and concisely to various audiences.
- Experience in presenting and communicating effectively at Committees, Boards, or similar forums.
- Highly developed interpersonal skills, fostering collaborative working relationships across diverse teams.
- Friendly, approachable, and professional demeanour.
- Excellent planning and organisation skills, with the ability to manage multiple tasks effectively and drive projects to completion, demonstrating a proactive approach to problem-solving and task management.
- Strong ability to prioritise workload and meet deadlines.
- Attention to detail and a commitment to accuracy.
- Ability to work independently, taking responsibility for meeting deadlines and ensuring work is to a high standard.
- Ability to work under pressure.

- Ability to work effectively with minimal supervision.
