Location: Blackburn, BB1 2FA

Job Type: Full Time - Permanent

Salary: £90,000 - £110,000 (Depending on experience)

Bonus Scheme: Bonus Incentive

About The Role

As Company Secretary, you will play a key role in supporting the organisation’s governance framework and ensuring the Board, Committees and executive leadership team operate effectively and in line with legal and regulatory requirements.

You will oversee company secretarial and statutory compliance activities, Board and Committee governance, reporting and Director support, while helping to strengthen governance practices, processes and controls across the organisation. You will also identify opportunities for continuous improvement, ensuring high standards of accountability, transparency and effective decision-making are maintained.

What You’ll Do

  • Develop, implement and maintain the organisation's governance framework, ensuring alignment with corporate objectives, regulatory requirements and best practice.
  • Provide expert advice to Board members and senior leaders on governance obligations, corporate governance principles and regulatory developments.
  • Ensure effective governance relationships are established between the Board, Committees and executive leadership teams.
  • Design, establish and embed Board and Committee structures to support effective decision-making and oversight.
  • Develop and maintain Committee Terms of Reference, annual workplans and governance calendars.
  • Ensure compliance with all applicable UK Companies Act requirements and corporate governance obligations.
  • Monitor changes in legislation, governance codes and regulatory requirements, providing recommendations and guidance to stakeholders.
  • Lead the onboarding process for new Directors and Board members, ensuring a seamless and compliant induction experience.
  • Support Directors in understanding their legal, regulatory and fiduciary responsibilities.
  • Develop digital workflows for Board and Committee workplans, action tracking, approval processes and governance reporting.
  • Manage the annual schedule of Board and Committee meetings and governance activities.
  • Prepare agendas in consultation with Board Chairs, Committee Chairs and executive stakeholders.
  • Coordinate the preparation, review and distribution of Board and Committee papers within agreed timelines.
  • Coordinate governance activities across key corporate events, including budgeting cycles, strategic reviews and remuneration processes.
  • Identify governance risks, control weaknesses and opportunities for improvement.
  • Promote a culture of strong corporate governance and continuous improvement throughout the organisation.

What We Are Looking For

  • Qualified Company Secretary or equivalent governance, legal or compliance background.
  • Demonstrable experience as a Company Secretary in multi‑jurisdictional governance.
  • Extensive knowledge of UK corporate governance requirements and Companies Act obligations.
  • Experience establishing new Boards, committees, and governance systems from scratch.
  • Expertise in digital governance platforms.
  • Experience in regulated or multi‑entity organisations.
  • Previous involvement in mergers, acquisitions, restructures or corporate transactions.
