The Role

We are seeking an experienced Company Secretary for a 3-to-6-month contract based full-time on-site at their offices in East Kilbride. Reporting directly to senior executive stakeholders, you will ensure seamless corporate governance, board management, and regulatory compliance during a key period of growth.

Key Responsibilities

  • Managing end-to-end board and committee logistics, including drafting agendas, preparing board packs, and attending meetings to record precise minutes.
  • Advising the Board of Directors on corporate governance best practices, statutory duties, and internal policies.
  • Maintaining statutory registers and overseeing filings with Companies House and regulatory bodies.
  • Acting as a primary governance contact for senior executives and non-executive directors.
  • Assisting with ad-hoc governance projects and statutory compliance tasks as required.

Key Requirements

  • Proven experience as a Company Secretary or Senior Governance Specialist within financial services or a regulated environment.
  • ICSA / CGI qualification (or equivalent demonstrative experience).
  • Exceptional minute-taking abilities with a keen eye for detail and high accuracy.
  • Deep knowledge of UK corporate law, governance frameworks, and regulatory requirements.
  • Strong stakeholder management skills with the confidence to advise board-level executives.
  • Full flexibility to work on-site in East Kilbride for the duration of the contract.
