Company Secretary (part-time) working with a top performing specialty insurer operating in the Lloyd’s market.
This role will encompass company secretarial responsibilities as well as responsibility for management and oversight of regulatory governance.
Key Responsibilities:
- Act as Board and Committee Secretary for the UK entities and provide governance support to the MGA’s.
- Partner with senior and Group stakeholders, including Internal and External Auditors, and act as the main contact for Non-Executive Directors.
- Coordinate Board and Committee meetings, agendas, papers, minutes and actions, ensuring effective governance and oversight.
- Maintain governance frameworks, including Terms of Reference, Delegated Authorities, governance maps and committee structures.
- Support Board effectiveness reviews and Director induction programmes.
- Own and maintain the Management Responsibilities Map (MRM), ensuring clear allocation of regulatory responsibilities and compliance with SMCR requirements.
- Coordinate governance updates arising from organisational changes, restructures and regulatory developments, working closely with Compliance and HR.
- Own the policy governance framework and annual review process, ensuring alignment with strategy, regulation and risk appetite.
- Coordinate key regulatory submissions and reviews with Compliance and Risk, including the Lloyd’s Principles Assessment and thematic reviews.

Qualifications & Experience:

- Proven experience as a Company Secretary with the London Market.
- Strong understanding and experience of UK and Lloyd’s regulatory standards and frameworks.
- Happy to work on a part-time basis.
