We are seeking a motivated Company Secretary to join our dynamic London-based Corporate Team.
You will play a key role in providing high-quality company secretarial services to a diverse client portfolio, including Main Market, AIM, and AQSE listed companies, as well as larger private limited companies.
This role offers a fantastic opportunity to work closely with boards of directors and senior executives, providing expert advice on governance, compliance, and company law matters.
What you will be doing:
- Manage a portfolio of clients with oversight from a senior Company Secretary.
- Draft meeting agendas and prepare board packs in liaison with the CEO, CFO, and Chairman.
- Attend board and committee meetings in person or online (as required) and draft s172-compliant board minutes.
- Provide advice on company secretarial and company law matters.
- Review and release announcements to the London Stock Exchange where appropriate.
- Advise and ensure compliance with Companies Act 2006, Listing Rules, DTRs, AIM Rules, Market Abuse Regulation and Main Market Rules compliance.
- Assist in the preparation of Annual Reports and draft corporate governance sections.
- Manage AGM documentation, printing, distribution, proxy monitoring, and attendance at AGMs.
- File statutory forms with Companies House and maintain statutory registers on Diligent or other entity management software.
- Support partners across the business in delivering high-quality services.
- Maintain working relationships with clients and key advisors such as auditors, registrars, and other advisers.
- Keep up to date with professional developments and undertake training as required.

Skills, Knowledge & Expertise

- CGI qualification or drive and commitment to complete the same.
- Professional services experience in a similar role preferred.
- Experience working with public and private limited companies, and preferably those listed on Main Market, AIM, and AQSE.
- Knowledge of the Companies Act 2006 and Corporate Governance best practices.
- Experience attending board and committee meetings and drafting minutes.
