Join Serenity as our Volunteer Company Secretary

Support effective governance across the CIC. You’ll coordinate Board and shareholder meetings, maintain company records, prepare minutes and resolutions, and support Companies House filings.

Strong governance is essential to building a safe, sustainable and trusted mental health organisation.

As Serenity grows, our Board is responsible for making important decisions about the organisation’s direction, accountability and long-term development. The Company Secretary will help ensure those decisions are supported by clear processes, accurate records and effective corporate administration.

Your contribution will help us

  • Maintain strong, transparent and accountable governance.
  • Ensure important Board and shareholder decisions are properly documented and followed through.
  • Keep on top of statutory filings, governance deadlines and corporate records.
  • Give Directors greater capacity to focus on strategy, service development and the communities Serenity exists to support.
  • Build governance processes that can scale responsibly as the organisation grows.

This role will also provide valuable separation of responsibilities within the organisation. Rather than corporate administration being concentrated with individual Directors, the Company Secretary will provide dedicated oversight and coordination of our governance processes.

Ultimately, good governance happens largely behind the scenes, but its impact reaches everything we do. By helping Serenity remain organised, accountable and compliant, you will be helping us build a stronger foundation from which we can deliver safe and accessible mental health support to the people who need it.

What are we looking for?

You do not necessarily need to have previously held the title of Company Secretary. We would particularly welcome applicants with experience or knowledge in areas such as corporate governance, company secretarial practice, law, compliance, board administration or regulated organisations.

We Are Particularly Looking For Someone Who

  • Has excellent attention to detail and takes pride in maintaining accurate records.
  • Is highly organised and able to keep track of meetings, deadlines, actions and statutory requirements.
  • Can produce clear, professional and accurate meeting minutes.
  • Is comfortable reading and working with formal documents such as Articles of Association, resolutions and governance policies.
  • Has strong written communication skills and can communicate confidently with Directors and shareholders.
  • Understands the importance of confidentiality, impartiality and good governance.
  • Is comfortable taking ownership of administrative processes and following matters through to completion.
  • Can identify when a governance or compliance issue needs to be raised with the Chair or Board.

What will you be doing?

The Serenity Project Mental Health C.I.C. is looking for a Volunteer Company Secretary to support the effective administration of our corporate governance.

Working closely with the Chair, CEO and Board of Directors, you will help ensure that Board and shareholder business is properly organised, documented and maintained. This is a governance-focused role rather than a general administrative or executive position.

Key Responsibilities Will Include

  • Coordinating our quarterly Board of Directors meetings and issuing meeting notices in accordance with our Articles of Association.
  • Supporting the Chair and CEO with the preparation and circulation of Board agendas and papers.
  • Attending Board meetings and preparing accurate, clear and timely minutes.
  • Coordinating shareholder meetings and written resolutions, including issuing notices and maintaining voting and decision records.
  • Maintaining the Company's formal governance records, including minutes, resolutions and constitutional documents.
  • Maintaining a governance calendar covering meetings, statutory deadlines and recurring corporate obligations.
  • Supporting the maintenance of statutory registers and company information.
  • Preparing and submitting routine filings to Companies House and retaining appropriate filing records and acknowledgements.
  • Monitoring governance actions and ensuring agreed decisions and filing requirements are appropriately recorded and followed through.
  • Helping the Board maintain consistent, organised and auditable governance processes as Serenity grows.

About The Role

The Company Secretary will act as an important point of coordination for the Board but will not independently exercise the decision-making powers of Directors or shareholders.

You will be joining Serenity at an important stage of its development as we strengthen our governance arrangements and prepare for the continued growth of the organisation.

This would particularly suit someone interested in corporate governance, company secretarial practice, law, compliance or organisational governance who wants meaningful practical experience within a growing Community Interest Company.
