Contracts Specialist
Overview
Guidepoint’s Legal team plays an important and global role across all our offices. The team provides expertise, advice, recommendations, and support to multiple parts of the business to ensure a seamless and efficient process.
We are currently seeking a Contracts Specialist to serve as the main point of contact between the Legal team and internal/external stakeholders regarding all contract management, including drafting, reviewing, and negotiation. This role will report to the Associate General Counsel.
What You'll Do
- Draft, review, and negotiate all types of contracts, including:
- Client and vendor agreements
- Non-disclosure agreements (NDAs)
- Contract amendments and renewals
- Statements of Work (SoW)
- Data processing agreements
- SaaS agreements
- Global stakeholders across different company locations
- Responsible for managing the Contracts Queue and coordination of all contract management aspects
- Serve as the primary contact between the legal department and internal and external stakeholders for:
- Contract reviews and revisions
- Requests for copies
- Contract-related questions
- Status updates
- Review, respond to, and manage contract-related questions within the Contracts inbox
- Manage Contract Template library and other knowledge management functions
- Ensure compliance with contract approval policies and procedures
- Liaise with Legal, Compliance, and Sales teams on contracts as needed
- Handle special projects as required

What You Have
- Bachelor’s Degree with at least 3 years' experience working with contracts
- Law Degree is a big plus but not required
- Contract management experience, preferably in-house
- Experience in reviewing, editing, interpreting, and negotiating legal agreements
- Experience reviewing and negotiating corporate master services agreements
- Strong organizational and communication skills, including:
- Ability to set priorities and handle multiple tasks/projects
- Track and follow up on projects effectively
- Exceptional interpersonal skills for collaborative work with:
- Internal and external contacts at all levels
- Global teams across office locations
- Ability to:
- Digest complex compliance practices
- Ensure consistent contractual drafting and review aligned with compliance
- Work independently and seek assistance as relevant
- Adapt to changing priorities, set clear focus, and take initiative while meeting deadlines
- Strong client-service orientation with flexibility
- Comfortable in fast-paced environments
- Ability to handle confidential information with professionalism, discretion, and integrity

Preferred Qualifications
- Experience with Apttus/Conga (Salesforce) contracts management systems
- Knowledge of GDPR and other data protection laws
- Experience negotiating data processing agreements
- Awareness of legal developments in AI and ability to incorporate them into contracts
