- The legal implementation of group and supply chain reorganisations for multinational groups.
- Creating, implementing, and maintaining intercompany agreements for transfer pricing compliance and transaction readiness.
- Cross-border M&A transactions.
- Corporate governance and strategic corporate projects.
This is not a traditional corporate associate role. The position focuses on the legal implementation of transfer pricing policies, intercompany agreements, and multinational group reorganisations, with extensive training provided in these specialist areas.
Position Summary
LCN Legal is seeking a Corporate & Commercial Associate with 2–5 years PQE to join our growing team.
The successful candidate will work directly with multinational clients, tax advisers, transfer pricing specialists, accountants, and senior lawyers on complex international projects. Following onboarding and training, the successful candidate will manage assigned legal workstreams, communicate directly with clients and advisers, supervise paralegal support on matters, and contribute to the successful delivery of client projects.
This role is ideal for a lawyer with a strong foundation in corporate and commercial law who is looking to develop specialist expertise in international group structures, transfer pricing implementation, and cross-border corporate transactions.
Key Responsibilities
- Draft, review, negotiate, and amend commercial agreements and related legal documentation.
- Design, draft, implement, and maintain intercompany agreements for multinational groups.
- Advise on the legal aspects of cross-border corporate structures and group reorganisations.
- Prepare board minutes, shareholder resolutions, written resolutions, and other corporate governance documents.
- Support corporate simplification projects, debt restructurings, and strategic reorganisations.
- Assist with M&A transactions, legal due diligence exercises, and transaction implementation.
- Analyse corporate structures and identify legal implementation requirements and associated documentation.

Project Management
- Manage assigned legal workstreams from initiation through completion.
- Prepare legal document lists, implementation plans, transaction step lists, and briefing notes.
- Coordinate project activities across clients, advisers, and internal team members.
- Monitor project timelines and ensure work is delivered accurately and efficiently.
Client Relationship
- Communicate directly with clients and their advisers.
- Participate in and lead client calls as appropriate.
- Provide practical, commercially focused legal support and guidance.
- Develop trusted working relationships with multinational clients and advisory teams.
Team Leadership
- Supervise and coordinate the work of paralegals assigned to client matters.
- Provide guidance and support on project execution and workflow management.
- Collaborate with colleagues across multiple jurisdictions and disciplines.
- Contribute to the firm’s knowledge resources, templates, and process improvements.
Required experience and qualifications
Essential
- Qualified Solicitor in England & Wales.
- 2–5 years PQE in corporate, commercial, or transactional legal practice.
- Strong commercial contract drafting and negotiation skills.
- Experience managing legal matters with increasing levels of autonomy.
- Solid understanding of company law and corporate governance requirements.
- Experience preparing corporate resolutions, board documentation, and related legal documents.
- Excellent legal drafting, analytical, and problem-solving skills.
- Strong written and verbal communication skills.
- Ability to work independently in a remote environment.
- Exceptional attention to detail and organizational skills.

- Experience supporting M&A transactions.

- Exposure to multinational corporate groups.
- Familiarity with transfer pricing implementation projects.
- Experience drafting or reviewing intercompany agreements.
- Exposure to international tax-related projects.
- Experience working with external advisers including accountants, tax professionals, and consultants.
