Introduction
Corporate & Commercial Law | M&A | Project Finance | Hybrid Opportunity
Our client, a well-established and growing law firm with offices in Sandton, Cape Town, and Durban, is seeking a highly skilled and motivated Corporate Commercial Senior Associate to join its dynamic Corporate & Commercial team in Sandton.
This is an exciting opportunity for an experienced legal professional to work on high-value corporate transactions, complex commercial matters, and strategic advisory work while contributing to the continued growth of a respected practice.
Duties & Responsibilities
Key Responsibilities
The successful candidate will be responsible for providing expert corporate and commercial legal services to a diverse client base and will play an integral role in transaction execution and client advisory.
Key Responsibilities Include
- Drafting, reviewing, and negotiating a broad range of commercial agreements and legal documentation.
- Advising clients on corporate and commercial legal matters across multiple sectors.
- Managing and assisting with corporate transactions, including:
- Mergers and acquisitions (M&A)
- Corporate restructures
- Project finance transactions
- Drafting and reviewing legal documentation, including:
- Sale of Business Agreements
- Sale of Shares Agreements
- Shareholders Agreements
- Partnership Agreements
- Memoranda of Incorporation (MOIs)
- Commercial contracts and related transaction documents
- Conducting legal research and providing commercially practical legal advice.
- Building and maintaining strong client relationships.
- Ensuring compliance with applicable legislation, including the Companies Act and related regulatory requirements.
- Managing matters independently while collaborating effectively with the broader legal team.

Desired Experience & Qualification
Minimum Requirements
To be considered for this role, candidates must meet the following requirements:

- LLB Degree
- Admitted Attorney of the High Court of South Africa
- Minimum 5+ years’ post-admission experience (PQE) in Corporate and Commercial Law
- Proven experience in:
- Corporate transactions
- Mergers and acquisitions (M&A)
- Project finance transactions
- Strong drafting, negotiation, and analytical capabilities
- Demonstrated experience in client engagement and relationship management
