Corporate Commercial Solicitor

2-5 PQE

An excellent opportunity has arisen with a boutique law firm who specialise in structuring companies to ensure their global entities are tax efficient and meet all the regulatory requirements in each jurisdiction.

The Firm

The firm is led by an entrepreneurial lawyer who has exceptional client relationships and really cares about the wellbeing of her team.

The firm have been quickly growing, not least due to a very well known company (not a client of theirs!) receiving a 2 Billion Dollar fine for not having the correct infrastructure, and work with an excellent client base of international household names across luxury brands, technology, food & drink, finance and leisure.

The Role

There is a team of lawyers who design the architecture of the company, and this role is to support them with the technical legal side behind that. The role will therefore include:

  • Drafting and reviewing commercial agreements and related legal documentation
  • Drafting inter-company agreements
  • Preparing board minutes, shareholder resolutions, written resolutions, and other corporate governance documents
  • Supporting corporate simplification projects and strategic reorganisations
  • Assisting with M&A transactions, legal due diligence exercises, and transaction implementation

In time, the role will evolve into you also analysing the current corporate structures and designing the new company structure. Full training will be provided on this side.

The Requirements

  • Experience advising multinational companies
  • Experience with restructuring, M&A or tax
  • Can demonstrate proactivity, self motivation and working autonomously

The Details

  • This is a fully remote role and you can be based anywhere in the UK
  • Team meet ups happen every quarter in London (expenses will be paid)
  • You will report into the Head of Legal and be supported by a talented paralegal
