Corporate and Commercial Associate | 2 to 5 years PQE | Fully remote (UK)

This is not a conventional Corporate Commercial Associate role and represents a superb opportunity to develop coveted specialist expertise. The work sits at the point where international tax strategy becomes legal reality: designing and implementing the corporate structures, intercompany agreements, and group reorganisations that multinational businesses rely on to stay compliant and transaction ready. If you have enjoyed the corporate work you have done so far and want to develop a genuine niche beyond general transactional support - this could be for you!

The Role

  • You will run your own workstreams on international projects for multinational groups headquartered across the UK, Europe, North America and APAC.
  • That means drafting, reviewing and negotiating commercial agreements; designing and implementing intercompany agreement frameworks; advising on the legal aspects of cross border structures and group reorganisations; and preparing board minutes, written resolutions and the wider corporate governance documentation that sits behind them.
  • Alongside the above you will support corporate simplification projects, debt restructurings and M&A transactions, including due diligence and implementation.
  • Interaction with stakeholders is a key aspect of the role.
  • You will therefore be trusted to lead on calls, speak to clients directly and liaise with their accountants, tax advisers and transfer pricing specialists.
  • Notably, full training is provided in their specialist areas and the firm will ensure your role is commensurate with PQE.

Role Requirements

  • The ideal candidate will be qualified in England and Wales with 2 to 5 years PQE in corporate, commercial or a transactional practice.
  • You will have strong contract drafting and negotiation skills alongside a solid grounding in company law and corporate governance, including experience preparing resolutions and board documentation.
  • The perfect candidate will be comfortable running matters with real autonomy, whilst asking the right questions along the way.
  • Beyond excellent legal grounding, precision will be key.
  • This work rewards lawyers who notice the detail others skim past, who write clearly, and who can hold several moving parts in their head without losing track.
