Are you a 3–5 years PQE Solicitor ready to step out of a rigid corporate structure and into a role where your work directly shapes the business?
We are looking for a proactive, commercially sharp Corporate Commercial Solicitor to join our specialist team. To be comfortable working independently, handling a varied caseload from instruction to completion. This is an excellent opportunity for a solicitor who wants their ideas to be heard and who is motivated by the chance to make a visible impact.
Key Responsibilities:
- 4-8 years PQE in Corporate and Commercial Law
- Solid experience in drafting, reviewing commercial agreements, and assisting or leading on corporate transactions.
- Drafting & Negotiation Skills: Ability to draft custom legal documentation and negotiate terms directly with opposing counsel or commercial counterparties.
- M&A and Transactions: Assisting with or managing buy-side and sell-side mergers and acquisitions, asset/share purchases, and joint ventures.
- Corporate Governance & Restructuring: Advising on articles of association, shareholders’ agreements, corporate reorganisations, director duties, and board resolutions.
- Equity & Venture Capital: Experience with investment rounds, disclosure letters, and share options schemes (EIS/SEIS or EMI) desirable.
- Commercial Acumen: Understanding of business operations, risk tolerance, and how to deliver pragmatic, commercially sensible advice rather than abstract legal theory.
- Commercial Contracts: Drafting, reviewing, and negotiating supply agreements, master service agreements (MSAs), terms of service, and distribution or agency contracts.
- Candidate must be based within a commutable distance of the Northampton office or clearly willing to relocate there
- Matter Management: Capable of running transaction workflows, coordinating due diligence processes, and managing junior trainees/paralegals.
- Client Relationship & BD: Emerging track record of maintaining client relationships and taking part in business development initiatives
