Job Title: Corporate & Company Secretary Paralegal

Role Overview

The Corporate & Company Secretary Paralegal will provide critical operational support to the Group Company Secretarial team. This role ensures compliance, governance, and scalability across multi-entity structures while maintaining accurate records to support board excellence.

Key responsibilities centre on satisfying regulatory standards and delivering seamless governance.


Key Responsibilities

1. Board & Committee Support

  • Assist in preparing and documenting board meetings, agendas, and minutes.
  • Ensure compliance with governance best practices.

2. Global Entity Management & Subsidiary Governance

  • Support the maintenance of corporate records and company constitutions.

3. Statutory Compliance (UK & International)

  • Ensure adherence to:
    • UK Companies Act 2006 (for UK entities)
    • Spanish Listing Rules / CNMV regulations (parent company)
    • EU Market Abuse Regulation (MAR)
  • Supporting corporate-wide compliance frameworks and identified regulations.

4. Corporate Reporting & Market Disclosure Support

  • Contribute to regulatory filings, shareholder communications, and market updates.

5. Shareholder & Stakeholder Coordination

  • Assist in liaising with shareholders, stakeholders and relevant regulatory bodies.

6. Technology, Data & Process Excellence

  • Utilise governance platforms (e.g., Diligent).
  • Be open to AI integration for efficiency gains (e.g., data entry, filing automation).

7. Team & Functional Support

  • Collaborate across departments in a multi-jurisdictional environment.
  • Contribute to process improvement initiatives.

Experience & Qualifications

Essential Criteria

  • 1–4 years in:
    • Company secretarial
    • Corporate legal support
    • Governance administration
  • Working knowledge of corporate laws and governance.
  • Experience in multi-entity structures or professional services firms.
  • Proficiency with governance systems (e.g., Diligent).
  • Precision-oriented with meticulous attention to record accuracy and deadlines.
  • Ability from fast-paced, global teams with clear confidentiality standards.

Tech & Mindset:

  • Fluent in Microsoft Office and Excel operations for governance workflows.
  • AI-curious: Enthusiastic about adopting tools to enhance operational efficiency.

Soft Skills:

  • Adaptable to global demands and company expansion.
  • Strong collaboration and communication in a diverse team.
  • Commitment to continuous process improvement.

Desirable Qualifications

  • Exposure to listed companies and international entity management.
  • ICSA/CGI or CILEX studies.
  • Basic exposure to corporate secretary parlance/roles.
