About the role
The Corporate Governance Manager is a broad and influential role within Haleon’s Corporate Secretariat, reporting to the Senior Corporate Governance Manager.
The role holder will own and lead significant UK and US listed-company governance, reporting, disclosure, shareholder and corporate activity workstreams. Operating with oversight rather than detailed day-to-day direction, they will determine the delivery approach, interpret and apply relevant requirements, prepare substantive analysis and recommendations, coordinate and challenge senior stakeholders and advisers, resolve issues, and drive matters from initial scoping through to approval, publication, filing or implementation. Material judgements will be escalated with a clear analysis and recommended course of action.
The successful candidate will combine strong technical judgement with practical delivery, constructive challenge and a continuous-improvement mindset, helping to shape a modern and resilient governance function.
Key accountabilities
Listed-company governance, disclosure and reporting
- Take end-to-end accountability for allocated Annual Report and Form 20-F sections, setting the approach and timetable, preparing substantive drafts, managing contributors, verification and approvals, challenging unsupported content and ensuring accurate, consistent and timely delivery.
- Lead allocated UK and US regulatory filing workstreams, including SEC filings and related announcements.
- Interpret and apply UK company law, the UK Listing Rules, DTRs, the UK Corporate Governance Code, Market Abuse Regulation and relevant US securities requirements, providing senior stakeholders with clear analysis, practical advice and a recommended approach on complex or non-routine matters.
- Own and lead defined elements of Haleon’s disclosure-control and Market Abuse Regulation framework, acting as the principal Corporate Secretariat contact for allocated matters.
- Advise project teams on classification, insider-list arrangements, confidentiality controls and escalation; engage directly with sponsors and senior stakeholders to identify potential disclosure issues; prepare substantive MAR assessments, Disclosure Committee papers and recommendations; drive implementation of decisions; and maintain clear, defensible records of assessments, approvals and announcements.
- Monitor developments, assess their implications and translate requirements into proportionate policies, controls and guidance.
- Lead improvements to allocated disclosure-control, project-list, Share Dealing Code and confidentiality arrangements, including practical training and communications.

Corporate activity, AGM and shareholders
- Take end-to-end accountability for Corporate Secretariat support on allocated debt issuances, refinancings, tender offers, share buybacks, M&A and other material corporate projects. Scope the governance workstream, establish the required approvals, disclosure analysis, execution arrangements, filings and records, coordinate stakeholders and advisers, identify and resolve governance dependencies, and lead signing, closing and post-completion delivery.
- Lead the AGM project and Haleon plc general meetings, preparing high-quality drafts of the Notice of Meeting, Board papers, shareholder communications and briefings. Analyse governance, voting and shareholder developments, identify sensitivities and coordinate the registrar, proxy advisers and internal stakeholders.
- Provide practical governance support on dividends, share capital, PDMR matters, share plans and non-routine shareholder issues, recommending an appropriate course of action.
- Own allocated registrar, ADR depositary and governance-provider relationships, managing service quality, resilience and value. Lead defined shareholder-service, register and digitisation initiatives and challenge underperformance.
Governance delivery and continuous improvement
- Independently scope and deliver governance projects, defining outcomes, stakeholders, approvals, timetables and controls.
- Lead allocated improvements to external-reporting controls and assurance, and support sustainability, subsidiary and international reporting where it intersects with PLC governance, Board oversight or disclosure.
- Prepare high-quality Board, committee and senior-management papers that identify the issue, relevant considerations, options, recommendation and decisions required.
- Build trusted relationships across Legal, Finance, Treasury, Investor Relations, Tax, Reward, Sustainability and Corporate Affairs, and engage confidently with external counsel, auditors, banks and other advisers.
- Challenge processes and assumptions, identify opportunities to simplify, automate or transfer activity, and lead implementation while maintaining clear governance accountability.
- Oversee and quality-assure work delivered by colleagues and service providers, including UK statutory activity.
- Determine approval routes for complex corporate actions, advise on authorities, powers of attorney and execution, draft non-routine Board and shareholder resolutions, and coach less experienced colleagues.

About You
- Substantial company secretarial or corporate governance experience, ideally in a listed, regulated or complex international organisation.
- Strong knowledge of UK company law and listed-company governance and disclosure requirements; experience supporting US-listed or foreign private issuer reporting and executive or employee share plans is advantageous.
- A track record of leading complex reporting, disclosure, AGM, transaction or governance workstreams from scoping through to completion.
- Excellent drafting, analytical and organisational skills, with sound judgement when handling confidential, legally sensitive and market-sensitive information and the ability to develop clear, practical recommendations.
- Confident stakeholder management, including the ability to influence, coordinate and constructively challenge senior colleagues and advisers.
- CGI-qualified, legally qualified, or able to demonstrate equivalent expertise and experience.
