Corporate Governance Paralegal (Entity Management) – 6-Month Contract

We are seeking an experienced Corporate Governance Paralegal to join the in-house legal team of a global organisation, supporting corporate governance and entity management across a diverse portfolio of legal entities throughout the globe.

This role is ideal for someone with strong experience in multinational entity management, corporate governance and company secretarial matters who enjoys working across multiple jurisdictions in a fast-paced, international environment.

Key Responsibilities

  • Manage a portfolio of legal entities across multiple jurisdictions, ensuring ongoing corporate governance and statutory compliance.
  • Oversee the full entity lifecycle, including incorporations, dissolutions, restructurings, mergers, liquidations, deregistrations and other corporate changes.
  • Coordinate with external company secretarial providers, local counsel and regulatory authorities to ensure timely completion of governance and compliance requirements.
  • Prepare and maintain board and shareholder resolutions, powers of attorney, director and officer appointments, constitutional documents and other corporate governance documentation.
  • Maintain statutory registers, corporate records and entity management systems, ensuring information remains accurate and audit-ready.
  • Coordinate annual compliance activities, including statutory filings, annual returns, director updates and other local regulatory obligations.
  • Support cross-border corporate transactions, post-acquisition integrations, internal reorganisations and other strategic corporate initiatives.
  • Partner closely with Legal, Tax, Finance and other business stakeholders to provide governance support across the corporate structure.
  • Drive continuous improvement of governance processes, entity management practices and legal operations, leveraging technology and AI tools where appropriate.

Key Requirements

  • Previous experience as a Corporate Governance Paralegal, Corporate Paralegal or Company Secretarial professional within a multinational organisation or international law firm.
  • Proven experience managing complex portfolios of legal entities across multiple jurisdictions.
  • Strong understanding of corporate governance, company secretarial practices and multinational entity management.
  • Experience working with external company secretarial providers, local counsel and regulatory authorities across different jurisdictions.
  • Hands-on experience with entity management platforms (e.g. Diligent Entities, CSC, Athennian, GEMS or similar).
  • Excellent knowledge of corporate records management, statutory compliance and governance best practices.
  • Highly organised with the ability to manage multiple deadlines across numerous jurisdictions.
  • Strong communication and stakeholder management skills, with experience collaborating across international legal and business teams.
  • A proactive, detail-oriented approach with a continuous improvement mindset and confidence using AI and legal technology tools to enhance productivity.
