Corporate Legal Consultant

About the Opportunity

This opportunity is for experienced Corporate Legal Consultants with expertise in corporate law, M&A, corporate governance, securities, capital markets, commercial contracts, and corporate transactions to contribute to advanced AI research and evaluation projects. You'll apply your legal expertise to evaluate AI-generated legal content, develop realistic corporate law scenarios, create reference legal outputs, and build structured evaluation frameworks that accurately assess professional legal reasoning and judgment.

The role may involve US and international corporate law frameworks, including Delaware corporate law, SEC regulations, the Model Business Corporation Act, UK Companies Act 2006, and applicable EU company law directives. No prior AI experience is required.

Responsibilities

  • Evaluate AI-generated corporate legal analyses, transaction documents, legal memoranda, and regulatory assessments for accuracy and completeness.
  • Develop realistic legal scenarios involving M&A transactions, corporate governance, securities, capital markets, restructuring, and commercial contracts.
  • Apply expertise in deal structuring, due diligence, regulatory review, corporate filings, and board/shareholder matters.
  • Analyze complex corporate transactions, legal agreements, regulatory requirements, and governance structures.
  • Create reference legal documents, transaction analyses, and client- or regulator-facing narratives.
  • Develop structured evaluation rubrics that measure professional corporate legal reasoning and judgment.
  • Use or evaluate workflows involving Westlaw, Lexis, virtual data rooms, contract lifecycle management platforms, and legal document automation tools.
  • Collaborate with interdisciplinary teams to maintain legal accuracy, consistency, and evaluation quality.

Required Qualifications

  • 5+ years of professional experience in corporate law, legal consulting, corporate legal services, or a related field.
  • Strong knowledge of corporate transactions, M&A, corporate governance, securities, commercial contracts, or restructuring.
  • Experience with legal research, due diligence, transaction documentation, regulatory analysis, or corporate filings.
  • Strong understanding of applicable corporate law principles, regulatory requirements, and transaction methodologies.
  • JD with bar admission or an equivalent international legal qualification is strongly preferred.
  • Excellent legal reasoning, analytical, research, and written communication skills.
  • Ability to work independently in a fully remote environment.

Preferred Qualifications

  • Experience working at a major law firm, investment bank, public company, or sophisticated in-house legal department.
  • Experience with M&A transactions, SEC filings, antitrust/HSR matters, corporate governance, or international corporate law.
  • Familiarity with Westlaw, Lexis, Intralinks, Datasite, CLM platforms, or legal document automation systems.
  • Experience creating legal training materials, evaluation rubrics, transaction documentation, or legal research frameworks.
  • Familiarity with AI, machine learning, legal technology, legal data annotation, or AI model evaluation.
  • Experience across US or international corporate law jurisdictions is an advantage.

Compensation

  • Competitive compensation of $90–$100/hour.
