An elite US law firm is seeking a talented Junior to Mid-Level Associate to join its highly regarded Corporate Private Equity team in London.
This is an outstanding opportunity to work alongside market-leading partners advising a prestigious client base of financial sponsors, portfolio companies and management teams on complex, high-value domestic and cross-border private equity transactions.
The Role
You will play a key role in supporting sponsor-led transactions from inception through to completion, working as part of lean, collaborative deal teams with significant client exposure. The practice advises on a broad range of private equity investments, acquisitions, disposals, buyouts and other corporate transactions.
Candidate Profile
The successful candidate will:
- Be qualified in a common law jurisdiction (England & Wales, Australia, New Zealand, Canada, South Africa or a comparable common law jurisdiction).
- Have between 1–5 years' post-qualification experience (or equivalent) gained at a leading international or top-tier law firm.
- Have financial sponsor or broader corporate transactional experience, ideally with exposure to private equity transactions.
- Be able to support sponsor-led matters across due diligence, drafting, signing, closing and wider corporate workstreams.
- Have experience assisting with the drafting and negotiation of Share Purchase Agreements (SPAs), including both locked box and completion accounts mechanisms.
- Be familiar with management incentive arrangements, including leaver provisions and shareholders' agreements.
- Have experience preparing and reviewing NDAs, engagement letters, disclosure letters, legal due diligence reports and ancillary transaction documentation.
- Demonstrate excellent drafting, analytical and communication skills, together with strong commercial judgement and meticulous attention to detail.
- Thrive in a fast-paced, collaborative environment and be motivated by working on sophisticated, high-profile transactions.
