A global Corporate Bank is seeking a Credit Officer with a legal background or degree

Responsibilities:

  • Documentation Review
    • Credit Documentation Review: Scrutinize, draft, and review lending documentation including Facility Agreements (LMA standard), Guarantees, Security Documents (debentures, legal charges), Intercreditor Agreements, and Conditions Precedent (CP) letters.
    • Security & Collateral Enforceability: Ensure that the bank's security interests are legally robust and properly structured (e.g., registrations at Companies House, Land Registry).
    • Conditions Precedent (CP) Management: Review and verify all legal CPs (such as Board Resolutions, Director Certificates, constitutional documents, and legal opinions) to ensure the borrower has the capacity and authority to enter into the transaction before funds are drawn.
    • Legal Risk Identification in Lending: Identify documentation risks such as weak covenant definitions, loopholes in Events of Default, or cross-default thresholds, and ensure these are aligned with the bank's credit risk appetite.
    • Act as the primary point of contact for external legal counsel handling transaction documentation. Work closely with Front Office and external counsel to escalate non-standard legal risks or highly complex structural issues.

  • Credit File Management
    • Conduct credit files review, verification, and storage of credit documentation.
    • Prepare reports and presentations on documentation review and archiving activities for senior management and internal regulatory authorities.

Requirements:

  • Bachelor degree in law (or higher) with legal practice experience or equivalent legal qualifications.
  • At least 3 years in Legal, Banking & Finance experience specifically in Loan documentation, ideally within a corporate or commercial banking environment.
  • Deep familiarity with LMA standard documentation and UK corporate laws.
  • Exceptional attention to detail, strong organizational skills and the ability to firmly uphold credit standard when under pressure from front office.
  • Experience with Project Finance, Commercial Real Estate, or Syndications a strong plus.
