You will sit within the Legal Team and report into a Senior Legal Counsel. As part of the role you will:

  • Provide a full governance and company-secretarial service to the Group.
  • Serve as the principal governance advisor and strategic partner to the boards and committees of regulated subsidiary entities.
  • Act as the primary governance advisor for multiple complex and regulated subsidiaries.
  • Present complex governance issues clearly and provide pragmatic solutions balancing growth objectives with regulatory compliance.
  • Drive subsidiary governance maturity through continuous process improvement and the development of sustainable governance frameworks.
  • Deliver governance services for a subsidiary entity within a multinational group.

What You Bring to the Table

  • Company secretarial or corporate governance experience, ideally within a regulated financial services environment
  • Working knowledge of the Companies Act 2006 and statutory filing requirements
  • Experience of drafting agendas, board and committee papers, and minutes
  • Experience of entity management and board portal software
  • Ability to navigate complex regulatory frameworks.
  • Ability to navigate difficult issues and multiple senior-level stakeholders, advise the business on key risks, and develop solutions.
  • Strong attention to detail.
  • Strong interpersonal skills with the ability to build and maintain effective working relationships with executives, non-executive directors, and external service providers.
  • The ability to operate autonomously in fast-paced environments while managing multiple high-priority workstreams without sacrificing precision or quality.

What You Will Focus On

  • Manage annual board and committee calendars to secure timely approvals, renewals, compliance attestations, statutory filings, and mandatory regulatory evaluations.
  • Monitor changes in the legislative and regulatory landscape and advise the board and senior management on new requirements and best practices.
  • Lead the end-to-end lifecycle of board and committee management, including agenda setting, preparation of board and committee packs, driving high-quality reporting and meeting minutes, tracking actions, and maintaining statutory records.
  • Support the induction of new directors and committee members, helping to prepare induction packs and maintain onboarding materials.
  • Manage annual board and committee calendars for approvals, renewals, compliance attestations, statutory filings, and mandatory regulatory evaluations.
  • Act as the key liaison between subsidiary boards and the Group.
  • Draft written resolutions and record decisions taken outside of meetings, ensuring proper documentation and retention.
  • Maintain statutory registers and the entity management system.
  • Be able to foster the development of all members of your team in order for them to flourish and reach their full potential and enable them to service customers to the best of their ability.
  • From time to time you may be required to carry out additional duties in order to support the business needs.

Nice to Have

  • Studying towards, or holding, the CGI (Chartered Governance Institute) qualification, or equivalent
  • Experience working in a Company Secretarial role for at least 5 years.

  • Proficient depth of knowledge around automation, AI and how those can be applied in your area of work — from accelerating analysis and insight generation, to improving how we design and deliver processes and communications.
  • Practical experience using AI tools in a professional context — whether to connect information, draft content, build frameworks, or create insights from data. We want people who actively use AI to increase productivity, not those who are waiting to be told to.
  • Strong AI literacy — an understanding of what AI assistants can and cannot do, how to prompt effectively, and how to critically evaluate AI-generated output before using it.
  • Awareness of the ethical considerations and responsible use of AI in the workplace, particularly in the context of sensitive data, customer experience, and compliance.
  • Prior experience using Claude (Anthropic) is a nice-to-have but not essential — what matters most is that you are genuinely engaged with AI as a tool, comfortable experimenting, and eager to share what works with your wider team
