Position Overview

Vantage is seeking a detail-oriented, analytical, initiative-driven Director, Assistant General Counsel (Capital Markets), EMEA to support the company's expanding global capital markets and investment activities and assist with the legal aspects of debt capital raising (acquisition financing, construction financing, securitizations) and related M&A and real estate matters.

This is a highly visible role, supporting the SVP, Capital Markets and Regional General Counsel directly, while also interacting with the Chief Financial Officer, Chief Legal Officer, and Chief Investment Officer, and the teams supporting them.

Key Responsibilities

Debt Capital Raising Initiatives:

  • Together with internal stakeholders and external counsel, manage all aspects of debt financing transactions from inception through to closing, including assisting in preparation of term sheets and negotiating loan agreements and securitisation finance documents prepared by Vantage’s counsel.
  • Deliver complex cross-border construction and securitisation financings, advise on financing structures and optimise negotiated positions.
  • Working closely with Finance and Treasury teams to execute finance transactions and monitor internal compliance with financing requirements.
  • Monitor and confirm Vantage’s operational compliance with representations, warranties, covenants, and other terms of loan agreements.
  • Post-closing, ensure compliance with lender consent rights and notification requirements (e.g., change in project scope, budget amendments, new tenant leases, etc.).
  • Ensure compliance with any Conditions Subsequent.
  • Instruct and manage external legal counsel and optimise transaction legal fee spend.
  • Proactively identify legal and commercial risks to the business and provide strategic advice on business operations and guidance to business functions from a capital markets and debt financing perspective.
  • Act as the point of contact for the Vantage EMEA business on financing terms and requirements.

Process Implementation and Improvement:

  • Implement and improve processes to capture information on any borrower or project changes that may require lender consent or notification.
  • Implement processes to ensure compliance with ongoing loan terms and fulfilment of conditions subsequent.
  • Drive the standardization of loan agreements, including representations, warranties, reporting, and lender consent rights.

Internal Collaboration:

  • Interact with the internal Tax, Finance, Company Secretarial, Development and Power teams on organization restructuring and its impact on loan agreements or other material agreements governed by the loan agreements.
  • Assist with the preparation and negotiation of amendments and waivers.

Mergers & Acquisitions:

  • Advise on transfer, assignment, split, and change of control issues relating to financings.

Legal Services and Risk Management:

  • Be a key part of the Legal team in delivering high-quality legal services and risk management, ensuring group-wide requirements are embedded in processes delivering Vantage’s data center developments and operations.
  • Support Vantage and be a strategic partner by providing practical, proactive, business-focused, solutions-oriented, and sound legal advice to enable Vantage to achieve its business and strategic objectives while fully and appropriately managing legal risk.
  • Instruct and manage outside counsel, especially for legal advice related to the specific laws of various jurisdictions.

Additional Duties:

  • Handle additional duties as assigned by Management.

Qualifications & Experience

  • Qualified lawyer with 8+ years of relevant legal experience including at a top tier law firm in a department focused on debt finance transactions
  • Some in-house experience preferred but not essential
  • Good knowledge of and experience in drafting and negotiating debt transaction documents (Leveraged Finance, Project Finance, or Real Estate Finance)
  • Experience within the data center or telecommunications industry preferred, but not required

  • Ability to analyze complex business concepts and documents
  • Able to handle sensitive topics, complex inquiries, or concerns with professionalism and timely follow-up.
  • Solution-focused and highly organized with the ability to manage multiple high-priority matters simultaneously.
  • Impeccable integrity, credibility, character and ethics
  • Flexible, adaptable and self-directed; able to work in a variety of circumstances; e.g. remotely, across multiple time zones, cross functionally, by project, etc.
  • Travel required is expected to be up to 5% but may increase over time as the business evolves.
