Job Description
The role is within the MUFG legal team and requires the provision of legal advice to specialist business areas such as FX Services, Fund of Fund Financing, and CLO Collateral Administration and Trustee Services, as well as general regulatory support.
Scope of Work
- Provide legal advisory, regulatory, and documentation support to the FX Services Team, the Fund of Fund Financing Team, the CLO Collateral Administration and Trustee Team (the “Supported Businesses”)
- Draft and negotiate legal documentation relating to the Supported Businesses with external clients, liaise with internal stakeholders on issues to ensure that risks are understood, ensure templates and guidelines are kept updated, as well as internal know-how and documentation storage. Such documentation may include Currency Hedging Agreements, ISDAs, CLO Administration or Trustee Documentation, Loan documentation, EMIR related documentation
- Provide legal advice on any ad hoc legal or regulatory questions raised by the Supported Businesses
- Liaise with external clients and internal clients, as well as external counsel (where appropriate), to facilitate and progress negotiations, manage internal risk and controls, and ensure that internal clients understand relevant legal risks and issues
- Liaise with external counsel, where appropriate, to obtain legal advice and opinions whilst managing external legal spend
- The provision of legal advice and documentation support may include taking instructions, determining the appropriate course of action, managing timelines and people's expectations, reviewing and drafting legal documents, negotiating agreements, managing input from experts and the business, seeking sign-off from the relevant parties, dealing with execution, or providing a final legal opinion as appropriate.
- Respond to legal queries from operational departments, internal control/support groups, client integration/client services teams, senior management, and entity boards, all concerning fund documentation, client agreements, applicable laws, and regulatory matters.
- Advise the business on day-to-day legal and regulatory matters across all key jurisdictions of the business and assist the business with managing legal risk.
- Support, and if necessary manage, projects and new business initiatives.
- Coordinate the ongoing maintenance and creation of precedents in response to legal, regulatory, operational, and market developments.
- Provide advice to, and/or representing legal on, internal committees (e.g. compliance committee, risk committee).

Qualifications

- English law qualified solicitor (with valid practicing certificate) with at least 2 years financial services experience either in house in a Bank or Fund Manager or in private practice
- Actual knowledge of and expertise in at least some of the legal areas covered by the Supporting Businesses is preferred
- Familiarity or knowledge of EMIR, AIFMD, and MiFID is preferred but not required
