Director of Corporate Development

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Director of Corporate Development based in United Kingdom.

As Director of Corporate Development, you will own the organization’s inorganic growth strategy and help shape its long-term expansion. You will lead the full acquisition lifecycle, from sourcing and evaluating opportunities through transaction execution and post-close integration. Alongside acquisitions, you will assess strategic alliances, joint ventures, and major commercial partnerships using the same disciplined investment framework. Reporting to the CFO, you will also contribute to long-term strategy, capital allocation, and financing initiatives. This is a highly hands-on role where you will build financial models, develop pipelines, conduct diligence, and prepare recommendations for senior leadership. You will work in a fully remote, flexible environment with significant autonomy and exposure to strategic decision-making. The role is ideal for an experienced corporate development professional who combines strong analytical discipline with sound commercial judgment and a low-ego, execution-oriented approach.

Accountabilities

  • Build and manage a disciplined pipeline of acquisition opportunities aligned with strategic priorities through market mapping, competitive analysis, direct outreach, and relationships with bankers, brokers, founders, and industry advisers.
  • Establish and apply a consistent screening and scoring methodology covering strategic fit, financial returns, technology and product considerations, integration complexity, and counterparty risk.
  • Prepare concise opportunity assessments that clearly articulate transaction costs, expected returns, key assumptions, risks, and potential outcomes.
  • Develop detailed valuation, transaction, scenario, and sensitivity models for prospective acquisitions, including synergy and financing analyses.
  • Coordinate financial, legal, technology, operational, and other cross-functional due diligence activities.
  • Lead diligence on target leadership and principals, including appropriate reference, background, litigation, and reputation reviews, and translate findings into recommendations for deal structure and risk mitigation.
  • Support transaction structuring and negotiations, including recommendations relating to retention arrangements, earnouts, indemnification, and escrow, in collaboration with legal advisers.
  • Prepare clear and rigorous materials for executive and board-level investment decisions, anticipating key questions and providing evidence-based recommendations.
  • Track completed transactions against their original investment thesis, reporting integration costs, realized synergies, and performance variances to support organizational learning.
  • Build transaction budgets covering purchase consideration, advisory and diligence costs, financing expenses, and working capital requirements.
  • Develop integration budgets and incorporate acquisition-related impacts into forecasts and annual operating plans in partnership with the finance team.
  • Lead post-close integration planning, including 100-day plans, cross-functional workstreams, financial reporting integration, systems transitions, and escalation of blockers.
  • Identify and evaluate strategic alliances, joint ventures, and major commercial agreements as alternatives or complements to acquisitions.
  • Assess partnership economics, governance structures, contribution and exit terms, pricing, exclusivity, and minimum commitments.
  • Maintain acquisition and partnership pipelines with consistent documentation of evaluated and declined opportunities and the rationale behind decisions.
  • Partner with senior leadership on the company’s 3-to-5-year growth strategy, including market landscapes, competitive analysis, and decisions around organic investment, acquisitions, and partnerships.
  • Support debt and equity financing initiatives, including financial modeling, use-of-proceeds analysis, lender and investor materials, data room preparation, and coordination with advisers and counsel.
  • Build the infrastructure of a scalable corporate development function, including playbooks, templates, screening criteria, deal processes, and pipeline systems.
  • As the function grows, contribute to hiring, coaching, and developing future corporate development team members.

Requirements

  • 8+ years of combined experience across corporate development, investment banking, private equity, transaction advisory, or related fields, including direct experience sourcing and developing acquisition opportunities.
  • Demonstrated experience conducting or coordinating financial, legal, operational, and people-related due diligence.
  • Strong financial modeling skills, including the ability to independently build three-statement, valuation, transaction, scenario, and sensitivity models from scratch.
  • Experience preparing and presenting recommendations to executive teams, boards, investment committees, or similarly senior audiences, with the confidence to defend analysis under challenge.
  • Working knowledge of software and/or recurring-revenue business models and the key metrics used to assess their performance.
  • Experience with post-merger integration, whether leading integration workstreams or supporting broader integration programs.
  • Experience evaluating or structuring strategic alliances, joint ventures, and major commercial agreements.
  • Exposure to debt or equity financing processes, such as private placements, secondary transactions, or credit facilities.
  • Experience contributing to multi-year strategic planning, including market analysis, competitive intelligence, and growth strategy.
  • Strong commercial judgment and the ability to objectively decline opportunities when the financial case, strategic fit, or counterparty risk does not justify proceeding.
  • Calm and composed under pressure, particularly when navigating difficult negotiations, unexpected diligence findings, or challenging counterparties.
  • Low-ego and detail-oriented, with a willingness to take ownership of both high-level strategic work and repetitive operational tasks.
  • Persistent and disciplined throughout lengthy, complex transaction processes, with a strong commitment to accuracy and quality.
  • Excellent communication skills, with the ability to present complex information concisely, clearly, and with the key conclusion upfront.
  • Strong interpersonal and collaboration skills, with the ability to work effectively with stakeholders across all levels of an organization.
  • High integrity, accountability, discretion, and sound judgment when handling confidential and market-sensitive information.
  • An MBA is considered an asset.
  • Big Four transaction advisory experience and/or software industry experience is advantageous.
  • Experience as the founding or first hire of a corporate development or finance function is highly valued.
  • An established network of software-sector bankers, brokers, investors, or founders is a significant advantage.
  • Experience working closely with or within an FP&A function is beneficial.
