Carlisle Support Services is looking for a Director of Legal and Procurement (9-month fixed term contract) who will play a crucial role in providing legal support, whilst mitigating risk within an organization. The post holder is responsible for providing guidance on corporate governance, negotiating and drafting contracts, risk management, and the development of plans and policies. They are also responsible for the strategic planning, management, and operational oversight for procurement and fleet.
The Director of Legal and Procurement also undertakes the role and remit of Company Secretary.
Your Core Role
Your core role will include but not be limited to the following activities:
Legal Responsibilities
- Legal Advice: Providing accurate, relevant and timely advice to the organization and its employees on various legal matters related to the business, its products and services.
- Contract Management: Drafting, reviewing and negotiating a wide range of commercial contracts and agreements.
- Risk Management: Identifying and mitigating legal risks by designing and implementing company policies and procedures.
- Compliance: Ensuring the organization complies with all relevant laws and regulations, including industry-specific requirements.
- Dispute Resolution: Managing and resolving legal disputes, including litigation, arbitration and mediation.
- Corporate Governance: Advising on corporate governance issues and ensuring the organization adheres to best practice.
- Contract Governance & Record Keeping: Maintain the company’s contract database and contract matrix.
- Training and Education: Conducting training sessions for employees on legal topics, such as compliance, contract law and data protection.
- Liaison with External Counsel: Coordinating with external law firms when specialized legal expertise is required.
Company Secretary Responsibilities
- Statutory Compliance: Ensuring the company complies with legal and regulatory requirements, including filing annual returns and other necessary documents with Companies House.
- Corporate Governance: Advising the board on governance matters and ensuring best practices are adhered too.
- Record Keeping: Maintaining the Company’s statutory books, such as registers of members, directors and secretaries, as well as minutes of board meetings and general meetings.
- Meeting Administration: Organising and preparing agendas for board and shareholder meeting, issuing notices and taking minutes. Follow up on actions and resolutions from meetings.
- Communication: Acting as a point of contact for shareholders and ensuring effective communication between the board and shareholders.
- Advisory Role: Providing legal and administrative support to the board and ensuring that the directors are aware of their legal responsibilities.
- Risk Management: Identifying and managing risks related to corporate governance and compliance.
- Responsible for keeping the delegation of authority updated, relevant and lived by.
- Relationship Management: Managing the relationship with key stakeholders.

Procurement Responsibilities
- Developing Procurement Strategies: Creating and implementing procurement strategies that align with the organisation goals and objectives.
- Supplier Management: Leading the team with the sourcing of suppliers, whilst maintaining strong relationships with our procurement partners.
- Cost Management: Identifying cost-saving opportunities and ensuring cost-effective purchasing practices are embedded across the business.
- Compliance and Risk Management: Ensuring all procurement activities comply with relevant regulations and ethical standards and managing supply chain risk.
- Team Leadership: Leading and managing the procurement team, providing direction, guidance, training and development and performance feedback.
- Marketing Analysis: Analysing market trends and supply chain risks to optimise procurement processes.
Fleet Responsibilities
- Fleet Management: Leading the team on the overseeing of the acquisition, maintenance, and disposal of the organisation’s fleet of vehicles.
- Cost Control: Managing the budget for fleet operations, including fuel, maintenance, and repairs.
- Compliance: Ensuring all fleet operations comply with legal and regulatory requirements.
- Safety Management: Implementing safety protocols and training for drivers to minimise accidents and ensure safe operations.
- Performance Monitoring: Create, produce and embed, metrics that analyse the performance and efficiency of the fleet to reduce costs.
- Supplier Relations: Managing the relationships with our main suppliers and produce a PSL.

The Ideal Candidate
Essential
- A bachelor’s degree in law (LLW) or equivalent.
- A bachelor’s degree in supply chain management or CIPS level 5 qualification
- 10 years’ experience in a legal role, preferably as an in-house lawyer
Desirable
- A foundation degree in CIPS level 4 qualification.
- Certification in fleet management such as CAFM.
- Leadership qualification or willingness to work towards.
Person Specification & Skills
- Business Acumen: Understanding the business context and strategic aspects to translate into a Carlisle contest.
- Negotiation and Communication: Strong negotiation and communication, both written and verbal are essential for the role.
- Analytical Skills: The ability to analyse market trends, supplier performance and procurement data.
- Strategic & Critical Thinker: To have the ability to design and implement strategies that align with organizational goals.
- Risk Management: Have the natural ability to identify and mitigate risks across their remit.
- Exceptional organizational skills are essential for the role.
- Demonstrable experience of leading and managing a team.
