About the Firm

Our client is an investment firm investing across venture capital, private equity, and private credit. The firm backs founders and growing businesses across the Middle East, North Africa, and Pakistan, with international investment activity.

The Role

We are seeking a commercially minded Senior Legal Associate with approximately 6–7 years of post-qualification experience to support the investment teams and wider business. This is a hands-on role involving transaction management, investment documentation, and practical commercial advice. You will work closely with investors, founders, and senior leadership, coordinating with external specialists where required.

Key Responsibilities

  • Manage legal workstreams for venture capital, growth equity, private equity, and private credit investments, from structuring and due diligence through negotiation and closing.
  • Draft, review, and negotiate term sheets, investment agreements, subscription documents, shareholders’ agreements, and convertible instruments.
  • Identify legal risks and provide practical recommendations that balance investor protection with commercial objectives.
  • Support follow-on investments, secondary transactions, exits, and portfolio-company restructurings.
  • Advise on shareholder rights, board matters, corporate governance, and material portfolio-company actions.
  • Support fund documentation and investment-vehicle structuring alongside specialist counsel.
  • Work with compliance colleagues and external advisers on relevant regulatory requirements, including ADGM/FSRA matters.
  • Review commercial contracts, partnership arrangements, vendor agreements, and employment-related matters.
  • Coordinate external counsel across jurisdictions, managing costs, deadlines, and deliverables.
  • Develop legal templates, processes, and records for a growing investment platform.

  • Approximately 6–7 years PQE, gained at a leading international law firm and/or in-house within an investment firm or financial institution.
  • Qualified solicitor or equivalent recognized legal qualification.
  • Strong experience in venture capital, growth capital, and/or private equity transactions, ideally involving technology businesses.
  • Ability to manage transactions and negotiate key documentation with appropriate independence.
  • Excellent English drafting, negotiation, and communication skills.
  • Strong commercial judgment and confidence working with investment teams, founders, and senior stakeholders.
  • Comfortable managing competing priorities in an entrepreneurial environment.
  • UAE or wider GCC experience is advantageous.
  • Familiarity with ADGM, DIFC, and cross-border investment structures is desirable.
  • Private credit, fund documentation, or investment-manager regulatory experience would be an advantage.
  • Arabic language skills are a plus.
