Company Description
“Not Dead Yet?” is a collaborative artistic project exploring what it means to live alongside incurable cancer through multidisciplinary creative practice. It creates space for contradiction, vulnerability, rage, humour, beauty, intimacy, exhaustion, and endurance, honoring the full emotional range of lived experience. The project actively rejects narratives that reduce people to diagnoses, tragedies, or inspirational symbols. Instead, it centers complex, embodied, and unfinished human stories as a form of creative health and critical hope. “Not Dead Yet?” is led by Marbellys Bayne and supported by Lighthouse Poole.
Role Description
Not Dead Yet? is currently establishing as a Community Interest Company (CIC), and we're seeking a Founding Director (Governance and Company Administration) to join our Board.
We're looking for someone with experience in governance, company administration, charity or CIC governance, organisational leadership or a related field to help shape the governance and strategic direction of the organisation during this exciting stage of development.
This role will work closely with the Chair and fellow Directors to establish robust governance, ensure regulatory compliance and help create a resilient organisation with community benefit at its heart.

This is a voluntary, unpaid Founding Director position during the establishment of the CIC. Reasonable expenses will be reimbursed subject to successful funding bids.

Key Responsibilities
- Advise the Board on governance best practice.
- Ensure compliance with the Companies Act and CIC Regulator requirements.
- Monitor compliance with the Articles of Association.
- Oversee board policies including: Conflict of Interest, Safeguarding, Equality, Diversity and Inclusion, Data Protection, and Risk Management.
- Coordinate board meetings with the Chair.
- Ensure agendas and board papers are circulated.
- Ensure accurate minutes are taken and retained.
- Monitor actions arising from board meetings.
- Maintain statutory company records.
- Support induction of new directors.
- Promote continuous improvement in governance.

Person Specification
Essential
- Experience of governance within a CIC, charity, social enterprise or similar organisation.
- Good understanding of board processes.
- Excellent organisational skills.
- Ability to interpret governance requirements.
- Excellent written communication.
Desirable
- Company secretarial experience.
- Experience of policy development.
- Knowledge of arts or health sectors.

You do not need to come from a traditional boardroom background to be considered. We are interested in the experience, perspective, judgement, and values you would bring to the role.
This is a hybrid role. Some responsibilities will require meeting in person, particularly at key points in the development of the CIC, while other meetings, planning, and Board work can be carried out remotely. Applicants will therefore need access to their own laptop, or another suitable device, and a reliable internet connection.
