Overview of Department
The Group Governance Services Department is responsible for providing a company secretarial and governance service to the firm’s corporate subsidiary Boards and their members and officers, and to other Baillie Gifford governance related committees and cross functional / department projects.
Purpose of Role
You don’t need previous experience in governance, regulatory or company secretarial work to apply. We’ll provide full training to help you build the knowledge and skills you need.
Following your initial training, you’ll help support the smooth running of the firm’s governance, regulatory and company secretarial activities. You’ll work with colleagues across the firm to keep important records and documentation accurate and up to date, support key processes, and help ensure required information and filings are completed accurately and on time.
Responsibilities
- Keep important records, documents and internal information up to date, accurate and well organised.
- Help prepare papers and information for Board and Committee meetings, making sure materials are complete and ready on time.
- Support the team in delivering a high-quality governance and company secretarial service across the firm.
- Work with colleagues across the firm to gather information which impacts governance documentation or regulatory reporting and follow up on actions.
- Support the completion of statutory, regulatory and corporate filings, making sure agreed processes and deadlines are followed.
- Monitor relevant developments and changes, record what they mean for the team and help communicate any actions that need to be taken.
- Contribute to projects and take ownership of agreed tasks or pieces of work.
- Help respond to information requests from colleagues and other teams, including due diligence and tender-related queries.
- Follow established processes and controls, while looking for practical ways to improve how the team works.
- Liaise with external advisers, authorities and other third parties when needed.
- Respond to day-to-day queries, seeking guidance where an issue is more complex or unfamiliar.
- Build knowledge of governance over time and share what you learn with colleagues.
- Support other members of the team and contribute to wider team priorities when required.

What success looks like
- Delivers consistently accurate and timely work, maintaining high-quality records, documentation and Board/Committee materials with strong attention to detail.
- Builds a solid understanding of the firm’s governance framework, including how Boards, Committees, entities, statutory requirements and supporting processes fit together.
- Takes ownership of allocated work, proactively progressing actions, meeting deadlines and escalating issues appropriately rather than relying on close supervision.
- Builds effective relationships with colleagues and stakeholders, communicating clearly, responding helpfully to requests and contributing to the resolution of governance-related issues.
- Looks for ways to improve how the team works, including making effective use of technology, strengthening processes and controls, and sharing knowledge with colleagues.
Your knowledge and experience
- Experience of using Microsoft Office, particularly Word, Excel and SharePoint.
- An understanding of AI and how it can be used effectively in a professional environment.
- Experience of working in a regulated financial services organisation would be helpful, but is not essential.
- No previous experience of governance, regulatory or company secretarial work is required; full training will be provided.
The type of candidate that we're looking for
A great candidate will be highly organised, collaborative and curious, with strong analytical skills and attention to detail. You will be keen to learn, comfortable taking ownership of your work and committed to delivering accurate, high-quality work on time. Previous experience in governance, regulatory or company secretarial work is not required; we are looking for someone with the aptitude and curiosity to learn, and full training will be provided. You will communicate confidently and build positive working relationships with colleagues across the firm. You will also look for ways to improve how things are done, including making effective use of technology and identifying opportunities to simplify and enhance processes. You will have a strong interest in AI and its practical application within a governance and professional services environment. You'll be encouraged to challenge existing reporting, processes and deliverables, using AI and data-driven approaches to improve efficiency, surface new insights and enhance the overall quality and impact of the team's outputs.
