What is the purpose of the Governance Manager?
Role
This role plays an important part in supporting our Board of Trustees, Chief Executive and Executive Leadership Team in carrying out their leadership roles. You'll contribute by:
- Ensuring that the organisation operates within a robust governance framework;
- Supporting effective decision-making, accountability, and delivery of strategic objectives; and
- Ensuring the Board of Trustees can operate effectively.
What will I be doing as a Governance Manager?
- Provide high-quality governance support and advice to senior stakeholders across our organisation, including the Board, Committees and Executive Leadership Team, enabling effective and agile decision-making, driving accountability, and supporting the delivery of NSPCC's strategic objectives and plans for the benefit of babies, children, and young people.
- Ensure that governance structures, policies and processes are effective, compliant and aligned with best practice, and that we are meeting all regulatory reporting requirements.

Governance And Board Support
- Support the management of the annual governance cycle, coordinating meeting dates, agendas, reports, papers, minutes, and action tracking. The Governance Manager will have particular responsibility for the day-to-day running of the Committees of the Board.
- Support trustee recruitment, induction, and development.
- Manage annual governance processes, including Trustee appraisals, Board effectiveness reviews, organisational conflict of interest reporting etc.
- Support governance-related projects and change initiatives to continuously improve processes and systems, driving organisational efficiency and best practice.
- Ensure high quality record-keeping.
Relationship Management
- Build effective relationships with key stakeholders on the Board and ELT, as well as with colleagues across the NSPCC.
- Build understanding of governance and regulatory requirements across the organisation, including delivering training where required. Act as a champion for high standards of governance and compliance, leading by example.
Regulatory Compliance
- Help to ensure that the NSPCC is compliant with all legal and regulatory requirements across the jurisdictions in which we operate.
- Manage NSPCC's annual regulatory reporting and returns, including maintaining Charity Commission, OSCR and Companies House records.
- Project manage the delivery of the Trustees Annual Report and Accounts each year.
What skills do I need to be the Governance Manager?
- Significant governance / company secretariat experience.
- Experience supporting Boards, Committees, and Executive Leadership Teams.
- Strong knowledge of governance frameworks and compliance requirements in a regulated, charity, or public sector environment.
- Experience of risk management and assurance processes.
- Excellent written communication and report-writing skills, including minute-taking.
- Strong organisational and project management skills.
- Excellent stakeholder engagement and influencing skills, including with non-executives.
