Location: Hybrid – CoSRH Office (London Bridge) and home working

The College of Sexual and Reproductive Healthcare (CoSRH) is the leader in the field of sexual and reproductive healthcare, and we are the voice for professionals working in this area. As a multi-disciplinary professional membership organisation, we set clinical guidance and standards, provide training and lifelong education, and champion safe and effective sexual and reproductive healthcare (SRH) across the life course for all.
The Clinical Effectiveness Unit (CEU) at the CoSRH develops a range of evidenced-based clinical guidance documents including guidelines, statements and new product reviews as well as associated activities.

Can you help us?
We are looking for someone to strengthen and elevate governance across the CoSRH, ensuring we meet our statutory responsibilities as a company and registered charity while embedding best practice throughout the organisation.
Working closely with the Chief Executive, President, Board Chair, Finance and Operations Director and wider College leaders, you will deliver high-quality, compliant governance activities. Many of these, such as member elections and Annual General Meetings, are vital to the College's reputation, so your expertise and judgement will really matter.
A major focus will be leading a comprehensive governance review and driving improvements. If you can bring clarity, rigour and collaboration to complex governance challenges, we'd love to hear from you.
The Role
- Provide expert advice to Officers, Trustees, Council Members, Chairs and senior leaders on governance, compliance and best practice
- Lead and implement governance reviews to improve decision-making, efficiency and oversight, including opportunities to use AI
- Act as the central point of coordination for all Boards, Committees, Working Groups and advisory bodies
- Maintain the governance framework, including the annual calendar, terms of reference, delegated authorities, policies and procedures
- Monitor action logs and decision registers, providing assurance on progress and compliance
- Maintain governance records and website content

Board of Trustees, Council and Committees
- Oversee agendas, papers, presentations and chair's briefings, plan the cycle of business and write accurate minutes for the Board of Trustees (4 meetings a year), Council (4 meetings a year) and the Finance, Risk and Investment Committee
- Draft papers and proposals on behalf of the Chief Executive, President and others
- Track decisions between meetings, liaising with members, officers and senior colleagues to ensure actions are delivered promptly
- Manage election and appointment processes to the Board, Council and committees, including succession planning and liaison with external suppliers
- Deliver induction, recruitment, training and annual appraisal programmes for Trustees and Council Members
- Manage the Register of Interests and declarations of interest, raising any conflicts with the Chief Executive or Board Chair
- Keep up to date with company and charity law and promote a consistent, effective approach to servicing boards and committees
- Oversee agendas, papers, meeting arrangements and action tracking for the EDI Committee
- Support ad-hoc governance working groups
AGM and Elections
- Working with the Board Chair and Chief Executive, deliver the AGM and any EGMs, including logistics, documentation, communications and voting arrangements
- Manage all College elections, improving standards and ensuring adherence to best practice and our values
Data Protection, Information Governance and Statutory Responsibilities

- Oversee GDPR compliance, acting as lead contact for data breaches and ICO reporting
- Lead all Information Governance activity and embed good data governance practice
- Oversee the corporate contracts register, governance complaints and statutory filings at Companies House and the Charity Commission
- Work flexibly with the EA & Office Manager to provide cover when required
You will be
- A governance professional, fully or part qualified through the Chartered Governance Institute (formerly ICSA), or with equivalent experience
- Significantly experienced in supporting Boards, Committees and Chairs at executive or trustee level
- Knowledgeable about committee governance, delegated authorities and decision-making frameworks
- Meticulous, diplomatic and discreet
- Highly organised, able to manage a complex workload and conflicting demands with limited guidance
- Flexible and proactive, working autonomously and as part of a team
- Skilled in IT, including PowerPoint, Word, Excel and SharePoint
- Committed to EDI in service delivery
- Experienced in a governance team, ideally within a membership organisation, not-for-profit, public body or charity, with knowledge of charity sector governance
